Assignment of Website Creator Agreement

This Assignment of Website Creator Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**{{company_name}}** (hereinafter referred to as 'the Company'), a company duly registered under the laws of {{country}}, with its principal place of business at {{company_address}}.

AND

**{{creator_name}}** (hereinafter referred to as 'the Creator'), an individual residing at {{creator_address}}.

Recitals

WHEREAS, the Creator has developed and created a website for the Company, known as '{{website_name}}' (hereinafter referred to as 'the Website'), which includes, but is not limited to, all content, design, code, graphics, text, images, animations, audio, video, and applications related thereto.

WHEREAS, the Company desires to acquire all rights, title, and interest in and to the Website, and the Creator desires to assign all such rights, title, and interest to the Company.

Assignment of Rights

In consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Creator hereby irrevocably assigns, transfers, and conveys to the Company, its successors, and assigns, all rights, title, and interest in and to the Website, including, without limitation, all intellectual property rights, copyrights, trademarks, trade secrets, and all other proprietary rights, whether now known or hereafter existing, throughout the world.

Creator's Representations and Warranties

The Creator represents and warrants to the Company that:

a. The Creator is the sole owner of all rights, title, and interest in and to the Website and has full power and authority to enter into this Agreement and to make the assignment contemplated herein.

b. The Website is an original work of authorship of the Creator and does not infringe upon any copyright, patent, trademark, trade secret, or other proprietary right of any third party.

c. The Creator has not previously assigned, transferred, or encumbered any rights in the Website to any third party.

d. The Creator will execute any and all further documents and instruments, and will perform any and all acts, that the Company may reasonably deem necessary or desirable to perfect or confirm the Company's ownership of the Website and all intellectual property rights therein.

Company's Rights and Obligations

The Company shall have the sole and exclusive right to use, reproduce, modify, adapt, distribute, display, perform, and otherwise exploit the Website in any manner it deems fit, without any further obligation or compensation to the Creator, save for that explicitly stated in this Agreement.

The Company agrees to pay the Creator a an assignment fee of {{amount}} ({{currency}}) on or before {{payment_date}}.

Confidentiality

The Creator agrees to keep confidential all information pertaining to the development of the Website and the Company's business, which the Creator may have acquired in the course of creating the Website. This obligation shall survive the termination or expiration of this Agreement.

Entire Agreement
