AFFILIATE MARKETING AGREEMENT

This Affiliate Marketing Agreement ("Agreement") is entered into on this {{date}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Company");

AND

Collectively referred to as the "Parties" and individually as a "Party".

1. APPOINTMENT

The Company hereby appoints the Affiliate, and the Affiliate hereby accepts such appointment, as a non-exclusive affiliate marketer of the Company's products/services, specifically {{product_service_description}}, in the territory of {{territory}}.

2. AFFILIATE RESPONSIBILITIES

The Affiliate shall actively promote the Company's products/services using ethical and lawful marketing methods. This includes, but is not limited to, using marketing materials provided by the Company, tracking links, and adhering to brand guidelines.

The Affiliate shall not engage in any activities that could harm the reputation of the Company or its products/services.

The Affiliate shall comply with all applicable laws and regulations in its marketing activities.

3. COMMISSION STRUCTURE

The Company shall pay the Affiliate a commission of {{commission_percentage}}% of the net revenue generated from sales directly attributable to the Affiliate's marketing efforts, as tracked through the Company's affiliate tracking system.

Net revenue is defined as the sale price less any returns, refunds, taxes, and shipping costs.

5. INTELLECTUAL PROPERTY

All intellectual property rights related to the Company's products/services, branding, and marketing materials remain the sole property of the Company.

The Affiliate is granted a non-exclusive, non-transferable, revocable license to use the Company's trademarks, logos, and marketing materials solely for the purpose of fulfilling its obligations under this Agreement.

6. CONFIDENTIALITY

Both Parties agree to keep confidential all proprietary and confidential information disclosed during the term of this Agreement, including but not limited to business strategies, customer data, and commission rates.

7. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and continue until terminated by either Party.

Either Party may terminate this Agreement with {{notice_period}} days' written notice to the other Party.

The Company may terminate this Agreement immediately if the Affiliate breaches any material term of this Agreement.

8. GOVERNING LAW AND JURISDICTION
