ASSIGNMENT OF ALL RIGHTS TO PHOTOGRAPH

THIS ASSIGNMENT is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{Assignor_Name}} of {{Assignor_Address}} (hereinafter referred to as "the Assignor")

AND

{{Assignee_Name}} of {{Assignee_Address}} (hereinafter referred to as "the Assignee")

RECITALS

WHEREAS, the Assignor is a professional photographer engaged by the Assignee to capture photographs pertaining to {{project_description}} (the "Photographs").

WHEREAS, the Assignor is the sole legal and beneficial owner of all intellectual property rights, including but not limited to copyright, in and to the Photographs.

WHEREAS, the Assignor desires to assign absolutely to the Assignee all of its rights, title, and interest in and to the Photographs, and the Assignee desires to acquire such rights.

ASSIGNMENT OF RIGHTS

1.1. The Assignor hereby irrevocably and unreservedly assigns, transfers, and conveys to the Assignee, its successors, and assigns, absolutely and forever, all rights, title, and interest of whatsoever nature, including, without limitation, all copyrights, moral rights, exploitation rights, and any other intellectual property rights, in and to the Photographs, throughout the world, for all purposes and in all media, whether now known or hereafter devised, from the date of creation of the Photographs.

1.2. The Assignor waives any and all moral rights they may have in relation to the Photographs, including the right to be identified as the author and the right to object to derogatory treatment of the Photographs.

CONSIDERATION

2.1. In consideration for the assignment of rights set forth herein, the Assignee shall pay the Assignor the sum of {{assignment_fee_currency}} {{assignment_fee_amount}} ({{assignment_fee_words}}) on or before {{payment_due_date}}.

2.2. The Assignor acknowledges that this payment constitutes full and final consideration for all rights assigned and for any and all uses of the Photographs by the Assignee.

WARRANTIES AND REPRESENTATIONS

3.1. The Assignor warrants and represents that:

a) The Assignor is the sole creator and owner of the Photographs and has the full right, power, and authority to enter into this Assignment and to assign the rights herein granted.

b) The Photographs are original and do not infringe upon any copyright, trademark, patent, trade secret, or other intellectual property or proprietary right of any third party.

c) The Photographs do not contain any defamatory, obscene, indecent, or unlawful material.

d) The Assignor has obtained all necessary consents, licenses, and releases from any persons, models, or subjects appearing in the Photographs for the full exploitation of the Photographs by the Assignee without any further payments or obligations.

3.2. The Assignee warrants and represents that:

a) The Assignee has the full right, power, and authority to enter into this Assignment.

INDEMNIFICATION

4.1. The Assignor agrees to indemnify, defend, and hold harmless the Assignee, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, costs, damages, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Assignor's warranties or representations hereunder or any claim that the Photographs infringe any third-party rights.

GOVERNING LAW AND JURISDICTION

5.1. This Assignment shall be governed by and construed in accordance with the laws of {{country}}.

5.2. Any dispute arising out of or in connection with this Assignment, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

ENTIRE AGREEMENT

6.1. This Assignment constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties.
