BUILDING MAINTENANCE AGREEMENT

This Building Maintenance Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}

BETWEEN:

{{client_company_name}}, a company duly incorporated under the laws of {{jurisdiction}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as "the Client")

AND

{{service_provider_company_name}}, a company duly incorporated under the laws of {{jurisdiction}}, with its principal place of business at {{service_provider_company_address}} (hereinafter referred to as "the Service Provider")

The Client and the Service Provider are hereinafter collectively referred to as “the Parties” and individually as “a Party”.

1. RECITALS

1.1 The Client is the owner/manager of the property located at {{property_address}} (hereinafter referred to as "the Property").

1.2 The Client desires to engage the Service Provider to perform building maintenance services for the Property, and the Service Provider is willing to provide such services on the terms and conditions set forth in this Agreement.

2. SCOPE OF SERVICES

2.1 The Service Provider shall provide the following building maintenance services to the Client (hereinafter referred to as "the Services"):

a) Routine inspections and preventative maintenance as detailed in Schedule A.

b) Corrective maintenance and repairs as required.

c) Emergency maintenance services.

d) Other services as mutually agreed upon in writing by the Parties.

2.2 The detailed scope of services, including frequency and specific tasks, is outlined in Schedule A, attached hereto and forming an integral part of this Agreement.

3. TERM AND TERMINATION

3.1 This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_term_in_months}} months, unless terminated earlier in accordance with the provisions of this Agreement.

3.2 Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party.

3.3 Notwithstanding Clause 3.2, either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.

4. FEES AND PAYMENT

4.1 The Client shall pay the Service Provider a monthly fee of {{monthly_fee_amount}} ({{currency}}) for the Services, payable on or before the {{payment_due_day}} day of each month.

4.2 In addition to the monthly fee, the Service Provider may charge for ad-hoc repairs or services outside the scope of Schedule A, at the rates specified in Schedule B.

4.3 All invoices shall be submitted by the Service Provider to the Client for approval and payment.

5. OBLIGATIONS OF THE PARTIES

5.1 **Client’s Obligations:**

a) Provide the Service Provider with reasonable access to the Property to perform the Services.

b) Provide all necessary information and support to the Service Provider.

c) Make timely payments as per Clause 4.

5.2 **Service Provider’s Obligations:**

a) Perform the Services with due care and diligence, in a professional and workmanlike manner.

b) Ensure all personnel performing the Services are suitably qualified and experienced.

c) Comply with all applicable laws, regulations, and safety standards.

d) Maintain appropriate insurance coverage, including public liability insurance.

6. INDEMNITY

6.1 Each Party hereby indemnifies and holds harmless the other Party, its officers, employees, and agents, from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with its own gross negligence or willful misconduct in the performance of this Agreement.

7. CONFIDENTIALITY

7.1 Both Parties agree to keep confidential all non-public information obtained during the course of this Agreement and shall not disclose such information to any third party without the prior written consent of the other Party, except as required by law.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 This Agreement shall be governed by and construed in accordance with the laws of {{jurisdiction}}.

8.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved amicably within {{negotiation_period_days}} days, either Party may refer the dispute to mediation or, failing that, to arbitration in accordance with the rules of {{arbitration_body}}.

9. ENTIRE AGREEMENT

9.1 This Agreement, together with its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
