COMPENSATION AGREEMENT

1. PARTIES

This Compensation Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{party_one_name}}, with a principal place of business at {{party_one_address}} (hereinafter referred to as "Compensating Party"), and

{{party_two_name}}, with a principal place of business at {{party_two_address}} (hereinafter referred to as "Compensated Party").

2. PURPOSE OF COMPENSATION

This Agreement is entered into for the purpose of compensating the Compensated Party for {{description_of_service_or_reason_for_compensation}}.

3. COMPENSATION

5. INDEPENDENT CONTRACTOR STATUS

The Compensated Party shall perform the services as an independent contractor and not as an employee, agent, or partner of the Compensating Party. The Compensated Party shall be solely responsible for all taxes, including income tax and social security contributions, arising from the compensation received under this Agreement.

6. CONFIDENTIALITY

During the term of this Agreement, the Compensated Party may have access to confidential and proprietary information belonging to the Compensating Party. The Compensated Party agrees to keep all such information strictly confidential and not to disclose it to any third party without the prior written consent of the Compensating Party.

7. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{country}}.

8. ENTIRE AGREEMENT
