Subject: Consent to Sub-License

Dear Sir/Madam,

We refer to the License Agreement (hereinafter referred to as "the Main Agreement") entered into between {{company_name}} (the "Licensor") and {{licensee_company_name}} (the "Licensee") dated {{main_agreement_date}}, concerning the licensing of {{licensed_property_description}}.

1. Grant of Consent

The Licensor hereby grants its express consent to the Licensee to sub-license the rights granted under the Main Agreement to {{sub_licensee_company_name}} (the "Sub-Licensee") for the purpose of {{purpose_of_sub_license}} (the "Sub-License"). This consent is subject to the terms and conditions set out in this document.

2. Terms and Conditions of Sub-License

2.1 The Sub-License shall be co-terminous with the Main Agreement and shall not extend beyond the term of the Main Agreement.

2.2 The rights sub-licensed to the Sub-Licensee shall be no broader in scope than the rights originally granted to the Licensee under the Main Agreement.

2.3 The Licensee shall ensure that the Sub-Licensee complies with all the terms and conditions, obligations, and restrictions set forth in the Main Agreement.

2.4 The Licensee shall provide the Licensor with a copy of the executed Sub-License Agreement within {{days_to_provide_agreement}} days of its execution.

2.5 The Licensee remains solely responsible for all acts and omissions of the Sub-Licensee as if they were the acts and omissions of the Licensee, and shall indemnify the Licensor against any loss or damage arising from the Sub-Licensee's breach of any term of the Main Agreement or the Sub-License Agreement.

3. Indemnity

The Licensee undertakes to fully indemnify and hold harmless the Licensor against any and all claims, demands, liabilities, costs, and expenses (including legal fees) arising directly or indirectly from the Sub-License, or any breach by the Sub-Licensee of the terms of the Sub-License Agreement or the Main Agreement.

4. Governing Law and Jurisdiction

This Consent to Sub-License shall be governed by and construed in accordance with the laws of {{jurisdiction}}. Any dispute arising out of or in connection with this Consent shall be subject to the exclusive jurisdiction of the courts of {{jurisdiction}}.
