CONSTRUCTION MANAGEMENT AGREEMENT
This Agreement is made and entered into on this {{day}} day of {{month}}, {{year}},
BETWEEN:
{{client_company_name}} (Registration Number: {{client_registration_number}}), a company duly incorporated and existing under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as 'the Client');
AND
{{manager_company_name}} (Registration Number: {{manager_registration_number}}), a company duly incorporated and existing under the laws of {{manager_jurisdiction}}, with its principal place of business at {{manager_address}} (hereinafter referred to as 'the Construction Manager').
Collectively referred to as 'the Parties'.
1. ENGAGEMENT OF CONSTRUCTION MANAGER
1.1 The Client hereby engages the Construction Manager, and the Construction Manager hereby accepts such engagement, to provide comprehensive construction management services for the project described in Schedule A (hereinafter referred to as 'the Project').
1.2 The Construction Manager shall act as the Client's representative and agent in connection with the planning, design, and construction phases of the Project.
2. SCOPE OF SERVICES
2.1 The Construction Manager shall perform the services detailed in Schedule B, which include, but are not limited to, project planning, cost control, scheduling, procurement, contract administration, quality control, and supervision of works.
2.2 The Construction Manager shall exercise all reasonable skill, care, and diligence in the performance of its duties and shall comply with all applicable laws, regulations, and industry standards.
3. FEES AND PAYMENT
3.1 In consideration for the services rendered by the Construction Manager, the Client shall pay the Construction Manager a fee as set out in Schedule C.
3.2 Payment terms shall be as follows: {{payment_terms}}.
3.3 All payments shall be made in {{currency}} and are exclusive of Value Added Tax (VAT) or any other applicable taxes, which shall be borne by the Client as per statutory requirements.
4. TERM AND TERMINATION
4.1 This Agreement shall commence on {{start_date}} and shall continue until the completion of the Project, unless terminated earlier in accordance with the provisions of this clause.
4.2 Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice.
4.3 Upon termination, the Construction Manager shall be entitled to payment for services rendered up to the date of termination.
5. INDEMNITY AND LIMITATION OF LIABILITY
5.1 The Construction Manager shall indemnify and hold harmless the Client from and against any and all claims, damages, losses, and expenses arising out of a breach of this Agreement, or negligence, willful misconduct, or fraud by the Construction Manager or its employees or subcontractors.
5.2 The Client shall indemnify and hold harmless the Construction Manager from and against any and all claims, damages, losses, and expenses arising out of a breach of this Agreement, or negligence, willful misconduct, or fraud by the Client or its employees or agents.
5.3 Notwithstanding anything to the contrary, the total liability of the Construction Manager under this Agreement shall be limited to {{liability_limit}}.
6. CONFIDENTIALITY
6.1 Both Parties agree to keep confidential all non-public information obtained during the course of this Agreement and shall not disclose such information to any third party without the prior written consent of the other Party, except as required by law.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
7.2 Any dispute arising out of or in connection with this Agreement shall first be referred to mediation in accordance with the rules of {{mediation_body}}. If the dispute is not resolved through mediation within {{mediation_period}} days, it shall be referred to arbitration in accordance with the rules of {{arbitration_body}}.
8. ENTIRE AGREEMENT
8.1 This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral, relating to the subject matter hereof.
8.2 Any amendments or modifications to this Agreement must be in writing and signed by both Parties.
