Date and Parties

This Contract on Retaining Legal Counsel (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**{{law_firm_name}}** (hereinafter referred to as the “Firm”), with an address at {{firm_address}}.

Recitals

WHEREAS, the Client desires to retain the Firm to provide legal services in connection with {{description_of_matter}} (hereinafter referred to as the “Matter”); and

WHEREAS, the Firm is willing to undertake such representation on the terms and conditions hereinafter set forth.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

Scope of Services

The Firm shall provide legal services to the Client in the Matter, which may include, but are not limited to: {{list_of_services_to_be_provided}}.

The Firm shall act diligently and competently in representing the Client's interests in the Matter. The Firm's representation does not extend to {{excluded_services}} unless a separate written agreement is entered into.

Fees and Payment

The Client agrees to pay the Firm for its services at the following rates: {{fee_structure_details}} (e.g., hourly rate of {{hourly_rate}} for {{attorney_name}}, or a fixed fee of {{fixed_fee_amount}} for the entire matter).

The Client shall also be responsible for all reasonable out-of-pocket expenses incurred by the Firm in connection with the Matter, including but not limited to, filing fees, court costs, expert witness fees, travel expenses, and photocopying charges. These expenses will be billed at cost.

A retainer fee of {{retainer_amount}} is payable by the Client upon signing this Agreement. This retainer shall be held in a trust account and applied against fees and expenses as they are incurred. The Client agrees to replenish the retainer within {{number_of_days}} days of receiving a request from the Firm.

Invoices for legal services and expenses will be rendered on a {{billing_frequency}} basis and are due and payable within {{payment_due_days}} days of the invoice date. Late payments may be subject to interest at the rate of {{interest_rate_percentage}}% per annum.

Client's Responsibilities

The Client agrees to cooperate fully with the Firm, provide all necessary information, documents, and evidence in a timely manner, and keep the Firm informed of any developments related to the Matter.

The Client understands that the Firm will rely on the information provided by the Client and that any inaccurate or incomplete information may adversely affect the outcome of the Matter.

The Client agrees to promptly notify the Firm of any changes in contact information.

Termination of Agreement

This Agreement may be terminated by either party upon {{notice_period}} days' written notice to the other party.

Upon termination, the Client shall pay for all services rendered and expenses incurred up to the date of termination. If the retainer exceeds the amount due, the balance will be refunded to the Client.

The Firm may withdraw from representation for good cause, including but not limited to, the Client's failure to pay fees or expenses as agreed, the Client's non-cooperation, or any conflict of interest that may arise.

Confidentiality and Professional Responsibility

The Firm shall maintain the confidentiality of all information provided by the Client, subject to applicable legal and ethical obligations.

The Firm shall exercise its professional judgment in representing the Client, but no guarantees are made as to the outcome of the Matter.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{jurisdiction_name}}.

Entire Agreement

This Agreement constitutes the entire agreement between the Client and the Firm with respect to the Matter and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
