DEVELOPMENT AND PUBLISHING AGREEMENT

This Development and Publishing Agreement ('Agreement') is made and entered into as of {{date_of_agreement}} ('Effective Date') by and between:

{{developer_company_name}}, a company duly registered under the laws of {{developer_jurisdiction}}, with its principal place of business at {{developer_address}} (hereinafter referred to as 'Developer'); and

{{publisher_company_name}}, a company duly registered under the laws of {{publisher_jurisdiction}}, with its principal place of business at {{publisher_address}} (hereinafter referred to as 'Publisher').

Collectively referred to as 'the Parties' and individually as 'Party'.

1. DEFINITIONS

1.1. 'Work' shall mean the software application/game/content titled '{{work_title}}' as more fully described in Schedule A.

1.2. 'Development Services' shall mean all services provided by the Developer in connection with the creation, testing, and delivery of the Work.

1.3. 'Publishing Services' shall mean all services provided by the Publisher in connection with the marketing, distribution, and sale of the Work.

1.4. 'Intellectual Property Rights' shall mean copyrights, trademarks, patents, trade secrets, and all other intellectual property rights worldwide.

2. DEVELOPMENT AND DELIVERY

2.1. Developer agrees to develop the Work in accordance with the specifications outlined in Schedule A and deliver it to Publisher by {{delivery_date}}.

2.2. Developer shall provide regular progress reports to Publisher as per the schedule in Schedule B.

2.3. Publisher shall have the right to review and approve milestones as set out in Schedule B. Rejection of any milestone shall be accompanied by specific reasons for non-compliance.

3. PUBLISHING AND MARKETING

3.1. Publisher shall have the exclusive right to publish, market, and distribute the Work worldwide for a period of {{publishing_term_years}} years from the date of first commercial release.

3.2. Publisher shall use its best efforts to promote and sell the Work. Marketing plans and budgets shall be approved by both Parties in advance.

3.3. Publisher shall not make any modifications to the Work without the prior written consent of the Developer.

4. INTELLECTUAL PROPERTY RIGHTS

4.1. All Intellectual Property Rights in the Work developed under this Agreement shall belong to the Developer.

4.2. Developer grants the Publisher a non-exclusive, worldwide, royalty-bearing license to use, reproduce, distribute, publicly display, and publicly perform the Work for the purpose of publishing and marketing as defined in this Agreement during the publishing term.

5. COMPENSATION AND ROYALTIES

5.1. In consideration for the Development Services, Publisher shall pay Developer a fixed fee of {{development_fee_currency}} {{development_fee_amount}} payable as per the payment schedule in Schedule C.

5.2. Publisher shall pay Developer a royalty of {{royalty_percentage}}% of the net proceeds received by Publisher from the sale of the Work. 'Net proceeds' shall be defined in Schedule C.

5.3. Royalty payments shall be made {{royalty_payment_frequency}} within {{days_for_payment}} days of the end of each period, accompanied by a detailed statement of sales.

6. INDEMNIFICATION

6.1. Developer shall indemnify, defend, and hold harmless Publisher from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of any actual or alleged infringement of any Intellectual Property Rights of a third party by the Work.

6.2. Publisher shall indemnify, defend, and hold harmless Developer from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of any breach of its obligations under this Agreement or any negligent or willful acts or omissions in the performance of its Publishing Services.

7. CONFIDENTIALITY

7.1. Both Parties agree to keep confidential all non-public information received from the other Party in connection with this Agreement.

7.2. The confidentiality obligations shall survive the termination of this Agreement for a period of {{confidentiality_term_years}} years.

8. TERMINATION

8.1. Either Party may terminate this Agreement with {{notice_period_days}} days' written notice if the other Party materially breaches any of its obligations hereunder and fails to cure such breach within the notice period.

8.2. Upon termination, Publisher shall cease all publishing activities and return all materials related to the Work to Developer. Compensation due to Developer up to the date of termination shall be paid within {{days_to_pay_upon_termination}} days.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

9.2. Any disputes arising out of or in connection with this Agreement shall be referred to arbitration in {{arbitration_city}}, in accordance with the rules of the {{arbitration_institution}}.

10. ENTIRE AGREEMENT

This Agreement, including all attached Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
