Parties to the Agreement
This Dispute Resolution Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
Party A: {{party_a_name}}, with its principal place of business at {{party_a_address}} (hereinafter referred to as 'Party A').
Party B: {{party_b_name}}, with its principal place of business at {{party_b_address}} (hereinafter referred to as 'Party B').
(Each a 'Party' and collectively, the 'Parties').
Background to the Dispute
WHEREAS, a dispute has arisen between Party A and Party B concerning {{brief_description_of_dispute}} (hereinafter referred to as 'the Dispute').
WHEREAS, the Parties desire to resolve the Dispute amicably and without resort to formal litigation, through the mechanisms outlined in this Agreement.
Objective of the Agreement
The Parties agree to engage in good faith efforts to resolve the Dispute according to the terms and conditions set forth herein, with the aim of reaching a mutually agreeable settlement.
Dispute Resolution Process
1. Negotiation: The Parties agree to first attempt to resolve the Dispute through direct good-faith negotiations between designated representatives within {{negotiation_period}} days of the Effective Date of this Agreement.
2. Mediation: If negotiations are unsuccessful, the Parties agree to submit the Dispute to non-binding mediation facilitated by a mutually agreed-upon mediator. The cost of mediation shall be borne equally by both Parties. The mediation shall commence within {{mediation_commencement_period}} days of the conclusion of the negotiation period.
3. Arbitration: If mediation fails to resolve the Dispute within {{arbitration_period}} days, the Parties agree to submit the Dispute to binding arbitration in accordance with the rules of {{arbitration_body}} by a single arbitrator appointed in accordance with the said rules. The arbitration shall take place in {{arbitration_location}}. The decision of the arbitrator shall be final and binding upon both Parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The costs of arbitration, including the arbitrator's fees, shall be allocated as determined by the arbitrator.
Confidentiality
All discussions, proposals, and disclosures made during the dispute resolution process shall be considered confidential and shall not be disclosed to any third party without the express written consent of both Parties, except as required by law.
The Parties agree that no statements made during the dispute resolution process, whether written or oral, shall be admissible as evidence in any subsequent legal proceedings, except those pertaining to the enforcement of any settlement agreement reached.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
Any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the courts of {{governing_jurisdiction}}.
Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
Amendments
No amendment or modification of this Agreement shall be valid unless made in writing and signed by both Parties.
