FINDER'S FEE AGREEMENT

This Finder's Fee Agreement ("Agreement") is made and entered into as of {{date_of_agreement}} ("Effective Date"), by and between:

{{Company_Name}}, a company duly incorporated and registered under the laws of {{Jurisdiction_of_Company}}, with its principal place of business at {{Company_Address}} (hereinafter referred to as "the Company"); and

{{Finder_Name}}, an individual/entity with its principal place of business/residential address at {{Finder_Address}} (hereinafter referred to as "the Finder").

The Company and the Finder are hereinafter collectively referred to as "the Parties" and individually as "a Party".

RECITALS

WHEREAS, the Company is engaged in the business of {{company_business_description}}.

WHEREAS, the Finder has represented that they have the ability to introduce potential {{business_opportunity_type}} opportunities or clients to the Company.

WHEREAS, the Parties wish to set forth the terms and conditions under which the Finder will introduce such opportunities or clients, and the Company will compensate the Finder for successful introductions.

APPOINTMENT AND RESPONSIBILITIES OF THE FINDER

The Company hereby engages the Finder, and the Finder hereby accepts such engagement, to introduce potential {{type_of_client_or_opportunity}} (the "Introduced Party") to the Company.

The Finder shall provide a written introduction of any potential Introduced Party to the Company, detailing the nature of the opportunity and the contact information of the Introduced Party.

The Finder acknowledges that the Company shall have sole discretion to pursue or not pursue any introduced opportunity or client.

FINDER'S FEE

In consideration for the successful introduction of an Introduced Party by the Finder, which results in a definitive agreement or transaction between the Company and the Introduced Party (a "Successful Transaction"), the Company shall pay the Finder a finder's fee (the "Finder's Fee").

The Finder's Fee shall be {{percentage_or_fixed_amount}} of the {{basis_of_fee_calculation, e.g., total contract value, net revenue, etc.}} derived from the Successful Transaction.

The Finder's Fee shall be payable within {{number}} days of {{event_triggering_payment, e.g., receipt of first payment from Introduced Party, closing of the transaction, etc.}}.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall continue until terminated by either Party upon giving {{number_of_days}} days' written notice to the other Party.

Notwithstanding earlier termination, the Finder shall be entitled to any Finder's Fee that has accrued or becomes due for any Successful Transaction initiated by an introduction made during the term of this Agreement, provided that such Successful Transaction is concluded within {{number_of_months}} months of the termination date.

CONFIDENTIALITY

Both Parties agree to keep confidential all non-public information disclosed by the other Party during the term of this Agreement and for a period of {{number}} years thereafter.

This includes, but is not limited to, business strategies, client lists, and financial information.

INDEMNIFICATION

Each Party agrees to indemnify and hold harmless the other Party from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of this Agreement by the indemnifying Party.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{Jurisdiction, e.g., South Africa}}.

Any dispute arising out of or in connection with this Agreement shall be submitted to mediation in {{City, e.g., Johannesburg}} in accordance with the rules of {{Mediation_Body, if any}}.

If mediation is unsuccessful, the dispute shall be resolved by arbitration in {{City, e.g., Johannesburg}} in accordance with the rules of {{Arbitration_Body, if any}}.

GENERAL PROVISIONS

Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements.

Amendments: No amendment or modification of this Agreement shall be effective unless in writing and signed by both Parties.

Assignment: Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party.

Notices: All notices under this Agreement shall be in writing and deemed given when delivered personally, sent by registered mail, or by email to the addresses specified herein.
