1. Background
The parties wish to record their understanding regarding the matters set out in this Hold Harmless Agreement and agree to be bound by the terms below.
2. Obligations
- The Employee shall comply with all reasonable and lawful instructions of the Company in respect of the subject matter of this Agreement.
- The Company shall provide such resources, access, and support as are reasonably required for the Employee to perform the obligations herein.
- Each party shall act in good faith and shall not take any action that could bring the other party into disrepute.
3. Confidentiality
Each party undertakes to keep confidential all information disclosed by the other party in connection with this Agreement, save where disclosure is required by law or with the prior written consent of the disclosing party.
4. Term & Termination
This Agreement shall commence on the Effective Date and shall continue until terminated by either party on thirty (30) days' written notice, or with immediate effect in the case of material breach.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the country in which {{company_name}} is registered. Any dispute shall be referred to the competent courts of that jurisdiction.
6. Entire Agreement
This Agreement constitutes the entire understanding between the parties in respect of its subject matter and supersedes all prior oral or written communications.

Recitals
- WHEREAS the Company wishes to formalize the arrangements set out below;
- WHEREAS the Employee agrees to be bound by the terms of this Agreement;
- NOW THEREFORE, in consideration of the mutual promises herein, the Parties agree as follows:
Definitions

- "Effective Date" means the date this Agreement is signed by both Parties.
- "Confidential Information" means non-public business, technical, or personal information disclosed under this Agreement.
Indemnification
Each Party agrees to indemnify and hold harmless the other from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of any breach of this Agreement or any negligent or wrongful act or omission of the indemnifying Party, subject to applicable law and the limits of liability set out herein.
