Invention Assignment Agreement
1. Definitions
"Company" refers to {{company_name}}, a company registered in {{country}} with its principal place of business at {{company_address}}.
"Employee/Contractor" refers to {{employee_name}}, with identification number {{employee_id_number}} and residential address at {{employee_address}}.
"Invention" refers to any discovery, invention, design, process, method, formula, improvement, know-how, data, computer program, software, composition, or any other intellectual property, whether patentable or not, conceived or reduced to practice by the Employee/Contractor, either solely or jointly with others, during the term of their engagement with the Company.
2. Assignment of Inventions
The Employee/Contractor hereby assigns and transfers to the Company, its successors, and assigns, the entire right, title, and interest in and to all Inventions made, conceived, or reduced to practice by the Employee/Contractor, either solely or jointly with others, during the term of the Employee/Contractor’s engagement with the Company.
The Employee/Contractor agrees to promptly disclose in writing to the Company all Inventions as they are made, conceived, or reduced to practice.
3. Further Assurances
The Employee/Contractor agrees to assist the Company, at the Company’s expense, in every reasonable way to secure the Company's rights in the Inventions and any copyrights, patents, mask work rights, or other intellectual property rights relating thereto in various countries, including the disclosure to the Company of all pertinent information and data, the execution of all applications, specifications, oaths, assignments, and all other instruments that the Company may deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive right, title, and interest in and to such Inventions, and any copyrights, patents, mask work rights, or other intellectual property rights relating thereto.
4. Confidentiality
The Employee/Contractor acknowledges that all Inventions shall be considered confidential information of the Company. The Employee/Contractor agrees to maintain the strict confidentiality of all Inventions and not to disclose, use, or disseminate any Invention to any third party without the prior written consent of the Company, both during and after the term of their engagement.
5. Prior Inventions
The Employee/Contractor represents and warrants that the attached Schedule A (if any) contains a complete list of all Inventions relevant to the Company's business that were conceived or first reduced to practice by the Employee/Contractor prior to their engagement with the Company and that are not assigned to the Company. If no Schedule A is attached, the Employee/Contractor represents that there are no such prior Inventions.
6. Compensation
In consideration for the assignment of Inventions, the Employee/Contractor shall receive {{compensation_details}}, which is hereby acknowledged as good and valuable consideration.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.
8. Entire Agreement
This Agreement constitutes the entire agreement between the Employee/Contractor and the Company with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
9. Severability
If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, such provision shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.
