LICENSE AGREEMENT SHORT FORM

This License Agreement Short Form ('Agreement') is made and entered into as of {{effective_date}} ('Effective Date') by and between:

LICENSOR: {{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_country}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as 'Licensor').

LICENSEE: {{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_country}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as 'Licensee').

Collectively referred to as 'Parties' and individually as 'Party'.

1. Grant of License

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, revocable license to use the intellectual property described in Exhibit A ('Licensed IP') for the purpose of {{purpose_of_use}} (the 'Permitted Use') in the territory of {{territory}} (the 'Territory').

2. Term of Agreement

This Agreement shall commence on the Effective Date and shall continue for a period of {{term_duration}} unless terminated earlier in accordance with the provisions of this Agreement.

3. License Fees

In consideration for the license granted herein, Licensee shall pay Licensor a license fee of {{currency}} {{amount}} ({{amount_in_words}}) on or before {{payment_due_date}}. All payments shall be made in {{currency}} in cleared funds to a bank account nominated by the Licensor.

4. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Licensee's use of the Licensed IP, except to the extent caused by the gross negligence or willful misconduct of Licensor.

5. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_city}}, {{arbitration_country}} in accordance with the rules of the {{arbitration_institution}}.

6. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
