Parties
This Mutual Release (hereinafter referred to as the “Release”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
**Releasing Party 1:** {{releasing_party_1_name}}, with its principal place of business at {{releasing_party_1_address}} (hereinafter referred to as “Party 1”).
**Releasing Party 2:** {{releasing_party_2_name}}, with its principal place of business at {{releasing_party_2_address}} (hereinafter referred to as “Party 2”).
(Each a “Party” and collectively, the “Parties”).
Recitals
WHEREAS, disputes, differences, and controversies have arisen between the Parties concerning {{description_of_dispute_or_event}} (hereinafter referred to as the “Dispute”);
WHEREAS, the Parties desire to settle amicably all claims, demands, differences, and controversies between them, known or unknown, arising from or related to the Dispute;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
Mutual Release of Claims
1.1. Party 1, for itself, its successors, assigns, heirs, executors, and administrators, does hereby remise, release, and forever discharge Party 2, its successors, assigns, heirs, executors, administrators, officers, directors, employees, agents, and all persons acting on its behalf, from any and all claims, demands, actions, causes of action, suits, debts, obligations, liabilities, damages, losses, costs, expenses, and attorneys’ fees, of whatsoever kind or nature, whether known or unknown, suspected or unsuspected, liquidated or unliquidated, fixed or contingent, past, present, or future, that Party 1 ever had, now has, or may hereafter have against Party 2, arising out of or relating to the Dispute.
1.2. Party 2, for itself, its successors, assigns, heirs, executors, and administrators, does hereby remise, release, and forever discharge Party 1, its successors, assigns, heirs, executors, administrators, officers, directors, employees, agents, and all persons acting on its behalf, from any and all claims, demands, actions, causes of action, suits, debts, obligations, liabilities, damages, losses, costs, expenses, and attorneys’ fees, of whatsoever kind or nature, whether known or unknown, suspected or unsuspected, liquidated or unliquidated, fixed or contingent, past, present, or future, that Party 2 ever had, now has, or may hereafter have against Party 1, arising out of or relating to the Dispute.
No Admission of Liability
The Parties understand and agree that this Release constitutes a compromise of disputed claims and that the payment or receipt of any consideration hereunder shall not be construed as an admission of liability by either Party, which liability is expressly denied.
Entire Agreement
This Release constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties. No modification, alteration, or amendment of this Release shall be effective unless in writing and signed by both Parties.
Governing Law and Jurisdiction
This Release shall be governed by and construed in accordance with the laws of {{applicable_country_or_region}}.
Counterparts
This Release may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
