PARTNERSHIP AGREEMENT

This Partnership Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{Partner_1_Name}}, residing at {{Partner_1_Address}}, (hereinafter referred to as “Partner 1”); and

{{Partner_2_Name}}, residing at {{Partner_2_Address}}, (hereinafter referred to as “Partner 2”).

Collectively referred to as the “Partners” and individually as a “Partner”.

1. NAME AND NATURE OF BUSINESS

1.1 The name of the partnership shall be {{Partnership_Name}}.

1.2 The principal place of business of the partnership shall be {{Partnership_Address}}.

1.3 The nature of the business to be carried on by the partnership shall be {{Nature_of_Business}}.

2. DURATION OF AGREEMENT

2.1 This Agreement shall commence on {{Start_Date}} and shall continue for a period of {{Duration_Years}} years, unless terminated earlier in accordance with the provisions of this Agreement.

3. CAPITAL CONTRIBUTIONS

3.1 Partner 1 shall contribute an amount of {{Partner_1_Capital_Contribution}} as initial capital.

3.2 Partner 2 shall contribute an amount of {{Partner_2_Capital_Contribution}} as initial capital.

3.3 Further capital contributions, if required, shall be mutually agreed upon by the Partners.

4. PROFIT AND LOSS SHARING

4.1 The net profits and losses of the partnership shall be shared between the Partners in the following proportions:

Partner 2: {{Partner_2_Profit_Share}}%

4.2 Drawings by partners shall be mutually agreed upon before being executed.

5. MANAGEMENT AND RESPONSIBILITIES

5.1 The management of the partnership business shall be the joint responsibility of both Partners.

5.2 Specific duties and responsibilities shall be allocated as follows:

5.3 Major decisions affecting the partnership shall require the unanimous consent of all Partners.

6. BANKING AND ACCOUNTING

6.1 A joint bank account shall be opened in the name of the partnership.

6.2 All funds of the partnership shall be deposited into this account.

6.3 Proper books of accounts shall be maintained and audited annually.

7. DISPUTE RESOLUTION

7.1 Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall first be subjected to good faith negotiations between the Partners.

7.2 If the dispute cannot be resolved through negotiation, it shall be referred to mediation in accordance with the rules of {{Mediation_Body_Name}}.

7.3 If mediation is unsuccessful, the dispute shall be resolved by arbitration in accordance with the rules of {{Arbitration_Body_Name}}.

8. TERMINATION OF PARTNERSHIP

8.1 The partnership may be terminated by mutual written agreement of the Partners.

8.2 A Partner may withdraw from the partnership by giving {{Notice_Period}} days’ written notice to the other Partner(s).

8.3 In the event of termination, the assets and liabilities of the partnership shall be wound up in accordance with the applicable laws.
