PARTNERSHIP DISSOLUTION AGREEMENT

This Partnership Dissolution Agreement ("Agreement") is made and entered into this {{date_of_agreement}}.

PARTIES TO THE AGREEMENT

The parties to this Agreement are:

1. {{partner_1_name}} of {{partner_1_address}} (hereinafter referred to as "Partner 1").

2. {{partner_2_name}} of {{partner_2_address}} (hereinafter referred to as "Partner 2").

(collectively referred to as "the Partners").

BACKGROUND

WHEREAS, the Partners entered into a Partnership Agreement on {{date_of_original_partnership_agreement}} for the purpose of {{purpose_of_partnership}} (hereinafter referred to as "the Partnership").

WHEREAS, the Partners mutually desire to dissolve the Partnership and terminate all business operations.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Partners agree as follows:

DISSOLUTION DATE

The Partnership shall be officially dissolved on {{effective_dissolution_date}} ("Dissolution Date").

ASSET DISTRIBUTION

Upon dissolution, all assets of the Partnership shall be distributed as follows:

1. {{asset_1_description}} shall be allocated to {{partner_receiving_asset_1}}.

2. {{asset_2_description}} shall be allocated to {{partner_receiving_asset_2}}.

3. All remaining assets shall be sold, and the proceeds shall be distributed in accordance with the Partners' respective ownership interests, which are {{partner_1_percentage}}% for Partner 1 and {{partner_2_percentage}}% for Partner 2.

LIABILITY SETTLEMENT

The Partners agree to settle all outstanding liabilities and debts of the Partnership as follows:

1. {{liability_1_description}} shall be assumed by {{partner_assuming_liability_1}}.

2. {{liability_2_description}} shall be assumed by {{partner_assuming_liability_2}}.

3. All other liabilities shall be settled from the Partnership's assets prior to any distribution to the Partners. If Partnership assets are insufficient to cover all liabilities, the Partners agree to contribute proportionally to cover the shortfall.

POST-DISSOLUTION OBLIGATIONS

Following the Dissolution Date, the Partners agree to:

1. Cooperate fully in winding up the Partnership's affairs.

2. Provide reasonable access to all Partnership records and documents.

3. Indemnify and hold harmless each other from any liabilities arising from the Partnership's business after the Dissolution Date, except for those liabilities specifically assumed by a Partner in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{jurisdiction}}.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Partners with respect to the dissolution of the Partnership and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
