PUBLISHING AGREEMENT
This Publishing Agreement (the "Agreement") is made and entered into effective as of {{effective_date}} (the "Effective Date"), By and Between:
{{publisher_company_name}}, a company duly incorporated under the laws of {{publisher_jurisdiction}}, with its principal place of business at {{publisher_address}} (hereinafter referred to as "Publisher");
And
{{author_name}}, an individual residing at {{author_address}}, (hereinafter referred to as "Author").
Collectively referred to as the "Parties".
1. Grant of Rights
1.1. The Author hereby grants to the Publisher the exclusive right to publish, reproduce, distribute, and sell the literary work titled "{{book_title}}" (the "Work") in {{language_of_work}} language, in print and digital formats, throughout the territory of {{territory}} for the full term of copyright.
1.2. The Author further grants the Publisher the non-exclusive right to license subsidiary rights, including but not limited to, translation rights, dramatization rights, and electronic rights, subject to the terms herein.
2. Delivery of Manuscript
2.1. The Author shall deliver the complete and final manuscript of the Work to the Publisher no later than {{delivery_date}}.
2.2. The Publisher shall have the right to edit and make stylistic changes to the manuscript for publication readiness, provided that such changes do not alter the meaning or intent of the Work without the Author's prior written consent.
3. Publication
3.1. The Publisher agrees to publish the Work within {{publication_months}} months from the date of acceptance of the final manuscript.
3.2. The Publisher shall determine the title, selling price, cover design, and marketing strategy for the Work in consultation with the Author.
4. Royalties and Payments
4.1. The Publisher shall pay the Author a royalty of {{royalty_percentage}}% of the net receipts from the sale of each copy of the Work.
4.2. Royalties for subsidiary rights shall be split {{subsidiary_split_publisher_percentage}}% to the Publisher and {{subsidiary_split_author_percentage}}% to the Author.
4.3. Payments shall be made semi-annually within {{payment_days}} days after {{reporting_period_end_date}}, accompanied by a detailed statement of sales.
6. Term and Termination
6.1. This Agreement shall commence on the Effective Date and shall continue for the full term of copyright, unless terminated earlier as provided herein.
6.2. Either Party may terminate this Agreement upon material breach by the other Party, provided written notice of such breach is given and the breaching Party fails to remedy the breach within {{cure_period_days}} days.
7. Governing Law and Dispute Resolution
7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
7.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{dispute_jurisdiction}}.
8. Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
