REFERRAL AGREEMENT

This Referral Agreement ('Agreement') is made and entered into on this {{date_of_agreement}}

BETWEEN:

{{referring_party_name}}, a company duly incorporated under the laws of {{referring_party_jurisdiction}}, with its registered office at {{referring_party_address}} (hereinafter referred to as 'Referrer');

AND

{{referred_party_name}}, a company duly incorporated under the laws of {{referred_party_jurisdiction}}, with its registered office at {{referred_party_address}} (hereinafter referred to as 'Service Provider').

Collectively referred to as 'the Parties'.

1. PURPOSE

The Referrer desires to refer potential clients ('Referred Clients') to the Service Provider for {{description_of_services}}, and the Service Provider desires to compensate the Referrer for such successful referrals in accordance with the terms of this Agreement.

2. REFERRAL PROCESS

2.1. The Referrer shall identify and introduce potential Referred Clients to the Service Provider.

2.2. All referrals shall be made in writing, via email to {{service_provider_email}}, and must include the Referred Client's name, contact details, and a brief description of their potential needs.

2.3. The Service Provider shall acknowledge receipt of each referral within {{acknowledgement_days}} business days.

2.4. The Service Provider shall have the sole discretion to accept or reject any Referred Client.

3. REFERRAL FEES AND PAYMENT

3.1. In consideration for a successful referral, the Service Provider shall pay the Referrer a referral fee of {{referral_fee_percentage}}% of the net revenue generated from the Referred Client for the {{duration_of_payment_period}} from the successful commencement of services.

3.2. 'Net revenue' shall mean the actual payments received by the Service Provider from the Referred Client, excluding any taxes, refunds, discounts, or third-party expenses.

3.3. Referral fees shall be calculated and paid {{payment_frequency}} (e.g., monthly, quarterly) within {{payment_days}} days following the end of the relevant period.

4. CONFIDENTIALITY

4.1. Both Parties agree to keep confidential all non-public information obtained during the course of this Agreement concerning the business, operations, and clients of the other Party.

4.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_duration}} years.

5. TERM AND TERMINATION

5.1. This Agreement shall commence on the {{start_date}} and shall continue until terminated by either Party.

5.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

5.3. Termination shall not affect any accrued rights or obligations of the Parties existing at the date of termination.

6. INDEMNIFICATION

Each Party agrees to indemnify and hold harmless the other Party from and against any and all claims, liabilities, and expenses, including reasonable attorney’s fees, arising out of any breach of this Agreement by the indemnifying Party.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_country_jurisdiction}}.

7.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_city}}, in accordance with the rules of {{arbitration_institution}}.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
