Vendor Agreement

This Vendor Agreement (the 'Agreement') is made effective as of {{effective_date}}, by and between {{company_name}}, having its principal place of business at {{company_address}} (hereinafter referred to as the 'Company'), and {{vendor_name}}, with a principal place of business at {{vendor_address}} (hereinafter referred to as the 'Vendor').

1. Scope of Services/Goods

The Vendor agrees to provide the following goods/services to the Company:

The deliverables and timelines are further detailed in Schedule A attached hereto.

2. Compensation and Payment Terms

In consideration for the goods/services provided by the Vendor, the Company agrees to pay the Vendor the amount of {{currency}} {{total_amount}} ({{total_amount_words}}).

Payment shall be made as follows: {{payment_terms}} (e.g., net 30 days from invoice receipt, milestone payments).

3. Term and Termination

4. Indemnification

The Vendor agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with the Vendor's performance under this Agreement, including but not limited to, any breach of warranties, negligence, or willful misconduct.

The Company agrees to indemnify, defend, and hold harmless the Vendor, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with the Company's use of the goods/services provided by the Vendor, provided such claims are not a result of the Vendor's negligence or willful misconduct.

5. Confidentiality

During the term of this Agreement, the Vendor may have access to confidential and proprietary information of the Company. The Vendor agrees to keep all such information strictly confidential and not to disclose or use it for any purpose other than fulfilling its obligations under this Agreement.

This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}}.

6. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by negotiation between the parties. 7. Entire Agreement
