VIDEO CLIP LICENSE AGREEMENT

This Video Clip License Agreement (hereinafter referred to as the “Agreement”) is entered into on this {{day}} day of {{month}}, {{year}}, by and between:

LICENSOR: {{licensor_name}}, with an address at {{licensor_address}} (hereinafter referred to as “Licensor”),

and

LICENSEE: {{licensee_name}}, with an address at {{licensee_address}} (hereinafter referred to as “Licensee”).

The Licensor and Licensee are hereinafter collectively referred to as the “Parties” and individually as a “Party.”

1. GRANT OF LICENSE

The Licensor hereby grants to the Licensee a {{exclusive_non_exclusive}} license to use the video clip titled “{{video_clip_title}}” (hereinafter referred to as the “Video Clip”) for the purpose of {{purpose_of_use}}. This license is granted for a term of {{term_of_license}} commencing on {{start_date}} and terminating on {{end_date}}, within the territory of {{territory}}.

2. PERMITTED USE

The Licensee is permitted to use the Video Clip in the following manner(s): {{permitted_uses}}. Any use outside of these specified parameters shall require prior written consent from the Licensor.

3. RESTRICTIONS ON USE

The Licensee shall not, without the prior written consent of the Licensor: (a) sub-license, assign, or transfer this license; (b) modify, adapt, or create derivative works from the Video Clip; (c) use the Video Clip in a manner that is defamatory, obscene, or illegal; (d) use the Video Clip for any commercial purpose not expressly stated in this Agreement.

4. LICENSE FEE AND PAYMENT

In consideration for the license granted herein, the Licensee shall pay the Licensor a license fee of {{currency}} {{amount}} ({{amount_in_words}}) by {{payment_due_date}}. Payment shall be made via {{payment_method}}.

5. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in the Video Clip shall remain solely with the Licensor. The Licensee acknowledges that it does not acquire any ownership rights in the Video Clip through this Agreement.

6. WARRANTIES AND REPRESENTATIONS

The Licensor warrants that it is the sole owner of the Video Clip and has the full right and authority to grant the license contemplated herein. The Licensor further warrants that the Video Clip does not infringe upon any third-party intellectual property rights.

7. INDEMNIFICATION

The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Licensee's breach of this Agreement or its use of the Video Clip outside the scope of this license.

8. TERMINATION

This Agreement may be terminated by either Party upon {{notice_period}} days’ written notice if the other Party breaches any material term of this Agreement and fails to cure such breach within the notice period. Upon termination, the Licensee shall immediately cease all use of the Video Clip.

9. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.
