VIDEO LICENSE AGREEMENT

This Video License Agreement (the 'Agreement') is made and effective as of {{date_of_agreement}} (the 'Effective Date') between:

{{licensor_company_name}}, a company duly registered under the laws of {{licensor_jurisdiction}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as 'Licensor'),

AND

{{licensee_company_name}}, a company duly registered under the laws of {{licensee_jurisdiction}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as 'Licensee').

Collectively, the 'Parties'.

1. DEFINITIONS

1.1. 'Video' refers to the specific moving image content described in Schedule A attached hereto.

1.2. 'Licensed Rights' refers to the specific rights granted by the Licensor to the Licensee as detailed in Clause 2 of this Agreement.

1.3. 'Term' refers to the duration for which the Licensed Rights are granted, as specified in Clause 3.

2. GRANT OF LICENSE

2.1. The Licensor hereby grants to the Licensee a {{exclusive_non_exclusive}} license to use the Video for the following purposes and within the following territories:

a) Purpose(s): {{purpose_of_use}} (e.g., promotional material, advertising, internal training, documentary).

2.2. The Licensee shall not have the right to sub-license, assign, or transfer the Licensed Rights granted herein to any third party without the prior written consent of the Licensor.

2.3. The Licensee agrees to provide appropriate attribution to the Licensor as follows: {{attribution_format}}.

3. TERM AND TERMINATION

3.1. This Agreement shall commence on the Effective Date and continue for a period of {{term_duration}} (the 'Term'), unless terminated earlier in accordance with the provisions of this Agreement.

3.2. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any of its obligations hereunder and fails to remedy such breach within {{notice_period_days}} days of receiving written notice thereof.

3.3. Upon termination or expiration of this Agreement, the Licensee shall immediately cease all use of the Video and, if requested by the Licensor, certify in writing that all use has ceased.

4. LICENSE FEES AND PAYMENT

4.1. In consideration for the Licensed Rights granted herein, the Licensee shall pay the Licensor a license fee of {{currency}} {{license_fee_amount}} ({{license_fee_amount_words}}) in accordance with the following payment schedule: {{payment_schedule}} (e.g., 50% upfront, 50% upon delivery, or monthly installments).

5. REPRESENTATIONS AND WARRANTIES

5.1. The Licensor represents and warrants that:

a) It is the sole owner of all rights, title, and interest in and to the Video and has the full power and authority to enter into this Agreement and grant the Licensed Rights.

b) The Video does not infringe upon any intellectual property rights, privacy rights, or publicity rights of any third party.

5.2. The Licensee represents and warrants that it will use the Video strictly in accordance with the terms of this Agreement and applicable laws and regulations.

6. INDEMNIFICATION

6.1. The Licensor shall indemnify, defend, and hold harmless the Licensee from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Licensor's representations and warranties under this Agreement.

6.2. The Licensee shall indemnify, defend, and hold harmless the Licensor from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any unauthorized use of the Video by the Licensee or any breach of the Licensee's obligations under this Agreement.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, including the breach, termination, or validity thereof, shall be resolved through {{dispute_resolution_method}} (e.g., amicable negotiation, mediation, arbitration in accordance with the rules of {{arbitration_body}}).

8. ENTIRE AGREEMENT

9. AMENDMENTS

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.
