WEB SITE DEVELOPMENT AND SERVICE AGREEMENT
This Web Site Development and Service Agreement (the 'Agreement') is made effective as of {{effective_date}} by and between:
Service Provider: {{service_provider_company_name}}, a company duly incorporated and registered under the laws of {{service_provider_country}}, with its principal place of business at {{service_provider_address}} (hereinafter referred to as the 'Developer').
Client: {{client_company_name}}, a company duly incorporated and registered under the laws of {{client_country}}, with its principal place of business at {{client_address}} (hereinafter referred to as the 'Client').
The Developer and the Client are hereinafter collectively referred to as the 'Parties' and individually as 'Party'.
1. SCOPE OF WORK AND DELIVERABLES
1.1. The Developer agrees to develop, design, and implement a website (the 'Website') for the Client as described in the attached 'Statement of Work' (Exhibit A).
1.2. The Statement of Work, which is incorporated herein by reference, shall detail:
a) Specific design elements and functionalities.
b) Content requirements and provision responsibilities.
c) Milestones and deadlines for project completion.
d) Hosting and domain registration responsibilities.
1.3. Any changes to the scope of work must be agreed upon in writing by both Parties and may result in adjustments to the project timeline and cost.
2. COMPENSATION AND PAYMENT TERMS
2.1. In consideration for the services provided, the Client agrees to pay the Developer a total fee of {{total_fee}} {{currency}}.
2.2. Payment shall be made according to the following schedule:
a) An initial deposit of {{deposit_amount}} {{currency}} due upon signing of this Agreement.
b) Progress payments of {{progress_payment_amount}} {{currency}} payable upon completion of each agreed-upon milestone (as detailed in Exhibit A).
c) The final payment of {{final_payment_amount}} {{currency}} due upon final delivery and acceptance of the Website.
2.3. All invoices are payable within {{payment_due_days}} days of receipt.
2.4. Late payments may incur interest at a rate of {{interest_rate}}% per annum or the maximum rate permitted by law, whichever is lower.
3. INTELLECTUAL PROPERTY RIGHTS
3.1. Upon full payment of all fees due under this Agreement, all intellectual property rights, including copyrights, in the final Website design, code, and content developed specifically for the Client shall transfer to the Client.
3.2. The Developer retains the right to use any pre-existing software, tools, or generic code libraries that are incorporated into the Website for other clients, provided such use does not infringe upon the Client's unique design and content.
3.3. The Client warrants that any content or materials provided to the Developer for inclusion in the Website do not infringe upon the intellectual property rights of any third party.
4. WARRANTIES AND LIMITATION OF LIABILITY
4.1. The Developer warrants that the Website will be developed in a professional and workmanlike manner and will conform to the specifications outlined in Exhibit A for a period of {{warranty_period}} days following acceptance.
4.2. The Developer shall not be liable for any downtime, data loss, or other issues arising from third-party hosting providers, internet service disruptions, or acts beyond the Developer's reasonable control.
4.3. In no event shall either party be liable to the other for any indirect, incidental, consequential, special, or exemplary damages, including, but not limited to, loss of profits, loss of data, or business interruption, arising out of this Agreement.
4.4. The Developer's total liability under this Agreement shall not exceed the total fees paid by the Client to the Developer under this Agreement.
5. MAINTENANCE AND SUPPORT
5.1. Following the acceptance of the Website, the Developer may offer optional maintenance and support services, as outlined in a separate agreement or addendum.
5.2. Without a separate agreement, the Developer is not obligated to provide ongoing maintenance, updates, or technical support beyond the warranty period.
6. CONFIDENTIALITY
6.1. Both Parties agree to keep confidential all non-public information obtained from the other Party during the course of this Agreement.
6.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.
7. TERMINATION
7.1. Either Party may terminate this Agreement upon written notice if the other Party materially breaches any of its obligations hereunder and fails to cure such breach within {{cure_period_days}} days of receiving written notice.
7.2. Upon termination, the Client shall pay the Developer for all services rendered up to the date of termination. If the Client terminates without cause, any deposit paid may be forfeited.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.
8.2. Any dispute arising out of or in connection with this Agreement shall first be negotiated in good faith between the Parties. If the dispute cannot be resolved amicably, it shall be referred to mediation in {{mediation_city}}, {{mediation_country}}.
8.3. If mediation is unsuccessful, the dispute shall be submitted to the exclusive jurisdiction of the courts of {{jurisdiction_city}}, {{jurisdiction_country}}.
9. ENTIRE AGREEMENT
This Agreement, including all exhibits and addenda, constitutes the entire understanding between the Parties and supersedes all prior negotiations, understandings, and agreements, whether oral or written, relating to the subject matter hereof.
