Bonus Agreement

This Bonus Agreement ('Agreement') is made and entered into on this {{date_of_agreement_day}} day of {{date_of_agreement_month}}, {{date_of_agreement_year}}

BETWEEN:

{{company_name}} (Pty) Ltd, a company duly incorporated in accordance with the laws of {{country}}, with its registered office at {{company_address}} (hereinafter referred to as 'the Company');

AND

{{employee_full_name}} (ID Number: {{employee_id_number}}), residing at {{employee_address}} (hereinafter referred to as 'the Employee').

1. Purpose

The purpose of this Agreement is to establish the terms and conditions governing the payment of a discretionary bonus to the Employee in recognition of their contributions and performance during a specified period, typically linked to individual, departmental, or company performance metrics.

2. Eligibility

The Employee shall be eligible for a bonus payment subject to meeting the following criteria:

a) The Employee must be actively employed by the Company on the bonus payment date.

b) The Employee must have achieved individual performance targets as outlined in their performance review for the bonus period {{bonus_period_start}} to {{bonus_period_end}}.

c) The Company must have met its overall financial or operational targets for the bonus period, as determined by the Company's Board of Directors.

3. Bonus Calculation

The bonus amount shall be calculated based on the following:

a) Individual Performance: {{individual_performance_percentage}}% of the Employee's annual basic salary.

b) Departmental Performance: {{departmental_performance_percentage}}% of the Employee's annual basic salary.

c) Company Performance: {{company_performance_percentage}}% of the Employee's annual basic salary.

The total potential bonus shall not exceed {{maximum_bonus_percentage}}% of the Employee's annual basic salary of {{employee_annual_salary}}.

4. Discretion of the Company

Notwithstanding any other provision in this Agreement, the Company reserves the right, in its sole and absolute discretion, to modify, reduce, or withhold any bonus payment, regardless of whether performance targets have been met. This discretion extends to the determination of eligibility, bonus amount, and payment timing.

5. Payment of Bonus

Any bonus payment due under this Agreement shall be paid on or before {{bonus_payment_date}}.

The bonus will be subject to all applicable statutory deductions, including but not limited to income tax and social security contributions, as required by the laws of {{country}}.

6. No Entitlement

The Employee acknowledges and agrees that this Agreement does not create any contractual right or entitlement to a bonus. The payment of a bonus in one period does not create any expectation or precedent for future bonus payments.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

8. Entire Agreement

This Agreement constitutes the entire agreement between the Company and the Employee pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
