Parties

This Conveyance Agreement Wind-Up (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**{{party_one_name}}** (hereinafter referred to as “Party A”), with its principal place of business at {{party_one_address}}.

AND

**{{party_two_name}}** (hereinafter referred to as “Party B”), with its principal place of business at {{party_two_address}}.

Recitals

WHEREAS, Party A and Party B previously entered into a Conveyance Agreement dated {{original_agreement_date}} (hereinafter referred to as the “Original Agreement”) concerning the conveyance of {{description_of_conveyed_assets}}.

WHEREAS, Party A and Party B now mutually desire to terminate the Original Agreement and wind up all obligations and responsibilities arising therefrom.

Termination of Original Agreement

Effective from the date of this Agreement, the Original Agreement, including all its terms, conditions, rights, and obligations, shall be and is hereby terminated, cancelled, and of no further force or effect, save for those provisions expressly stated to survive termination.

All parties acknowledge and agree that this termination is without prejudice to any rights or obligations that may have accrued prior to the effective date of this Agreement.

Release and Discharge

Upon execution of this Agreement, Party A and Party B do hereby mutually release and forever discharge each other, their respective officers, directors, employees, agents, successors, and assigns, from any and all claims, demands, actions, causes of action, liabilities, and obligations of any nature whatsoever, whether known or unknown, arising out of or in connection with the Original Agreement, save for claims arising from fraud or wilful misconduct.

Return of Property/Documents

Party {{party_returning_property}} agrees to return to Party {{party_receiving_property}} all {{specific_property_or_documents}} related to the Original Agreement within {{number_of_days}} days of the effective date of this Agreement. This includes, but is not limited to, {{list_of_items_to_return}}.

Confidentiality

The parties agree that any confidential information exchanged during the term of the Original Agreement shall remain confidential and shall not be disclosed to any third party, in accordance with the confidentiality provisions of the Original Agreement, which shall survive this termination.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country_of_jurisdiction}}, without regard to its conflict of laws principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating thereto.
