This Exclusive Sales Commission Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}} (hereinafter referred to as "Company"), a company duly registered under the laws of {{country}}, with its principal place of business located at {{company_address}}.

AND

{{sales_representative_name}} (hereinafter referred to as "Sales Representative"), an individual/entity residing/operating at {{sales_representative_address}}, with identification/registration number {{sales_representative_id}}.

Recitals

WHEREAS, the Company is engaged in the business of {{company_business_description}} and desires to engage the Sales Representative to solicit sales on its behalf;

WHEREAS, the Sales Representative is experienced in sales and marketing and desires to provide such services to the Company on an exclusive commission basis;

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

1. Exclusivity

1.1. The Company hereby grants the Sales Representative the exclusive right to solicit orders for the sale of {{products_services_description}} (hereinafter referred to as “Products/Services”) within the geographical territory of {{territory}} (hereinafter referred to as “Territory”) for a period commencing on {{start_date}} and ending on {{end_date}}.

1.2. During the term of this Agreement, the Company shall not appoint any other sales representative or agent to solicit orders for the Products/Services within the Territory, nor shall the Company directly solicit sales within the Territory.

2. Sales Representative's Responsibilities

2.1. The Sales Representative shall use their best efforts to promote the sale of the Products/Services within the Territory.

2.2. The Sales Representative shall keep accurate records of all sales activities, contacts, and transactions, and shall provide periodic reports to the Company as reasonably requested.

2.3. The Sales Representative shall not engage in any activities that may negatively impact the Company's reputation or business.

3. Commission Structure

3.1. The Company shall pay the Sales Representative a commission of {{commission_percentage}}% of the net sales generated by the Sales Representative for approved orders of Products/Services within the Territory.

3.2. Net sales shall be defined as the gross sales price less any returns, allowances, discounts, and taxes.

3.3. Commissions shall be calculated on a {{payment_frequency}} basis and paid to the Sales Representative on or before the {{payment_day}} day of the month following the period in which the sales were generated and confirmed as paid by the customer.

3.4. The Company shall provide the Sales Representative with a detailed statement of sales and commission calculations for each payment period.

4. Term and Termination

4.1. This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_duration}} unless terminated earlier in accordance with the provisions herein.

4.2. Either party may terminate this Agreement by providing {{notice_period}} days' written notice to the other party.

4.3. This Agreement may be terminated with immediate effect by either party in the event of a material breach of any terms or conditions of this Agreement by the other party, provided that written notice of the breach is given and the breaching party fails to remedy such breach within {{cure_period}} days of receiving such notice.

5. Confidentiality

5.1. The Sales Representative agrees to keep confidential all proprietary and confidential information of the Company, including but not limited to, customer lists, pricing strategies, product designs, and business plans, both during and after the term of this Agreement.

5.2. The Sales Representative shall not disclose any confidential information to any third party without the prior written consent of the Company.

6. Independent Contractor Status

6.1. The Sales Representative acknowledges and agrees that they are an independent contractor and not an employee, partner, or joint venturer of the Company.

6.2. The Sales Representative shall be solely responsible for all taxes, national insurance contributions, and other statutory payments arising from the compensation received under this Agreement.

7. Governing Law and Dispute Resolution

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the {{arbitration_body}}.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

Any amendment to this Agreement must be in writing and signed by both parties.
