Parties to the Agreement
This Exclusive Solicitation Sales Commission Agreement ("Agreement") is made and entered into on {{effective_date}} by and between:
{{company_name}}, a company duly registered under the laws of {{jurisdiction_company_registered}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Company");
AND
{{sales_agent_name}}, an individual residing at {{sales_agent_address}}, or a company duly registered under the laws of {{jurisdiction_sales_agent_registered}}, with its principal place of business at {{sales_agent_address}} (hereinafter referred to as "Sales Agent").
The Company and the Sales Agent are collectively referred to as "Parties" and individually as "Party."
Appointment and Exclusivity
The Company hereby appoints the Sales Agent as its exclusive sales agent for the solicitation of sales of {{products_or_services}} (hereinafter referred to as "Products/Services") within the territory of {{territory}} (hereinafter referred to as "Territory"). The Sales Agent accepts such appointment.
During the term of this Agreement, the Company shall not appoint any other sales agent, representative, or employee to solicit sales of the Products/Services within the Territory, nor shall the Company directly solicit sales of the Products/Services within the Territory, without the prior written consent of the Sales Agent.
Sales Agent Responsibilities
The Sales Agent shall use their best efforts to promote and solicit sales of the Products/Services within the Territory.
The Sales Agent shall comply with all applicable laws and regulations in their sales activities.
The Sales Agent shall provide the Company with regular reports on sales activities, customer feedback, and market conditions as reasonably requested by the Company.
The Sales Agent shall maintain professional conduct and uphold the reputation of the Company at all times.
Commission Structure
The Company shall pay the Sales Agent a commission of {{commission_percentage}}% of the net revenue received by the Company from sales of the Products/Services successfully solicited by the Sales Agent within the Territory.
Net revenue shall be defined as {{definition_of_net_revenue}}.
Commissions shall be calculated and paid on a {{payment_frequency}} basis, within {{days_to_pay_commission}} days after the end of each {{payment_period_end_date}}.
The Company shall provide the Sales Agent with a detailed commission statement accompanying each payment.
Term and Termination
This Agreement shall commence on the Effective Date and continue for a period of {{agreement_term_length}} (e.g., one year), unless terminated earlier in accordance with the provisions herein.
Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.
This Agreement may be terminated with immediate effect by either Party if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.
Confidentiality
The Sales Agent acknowledges that they may have access to confidential information of the Company, including but not limited to, pricing strategies, customer lists, and product specifications. The Sales Agent agrees to keep all such information strictly confidential during and after the term of this Agreement.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If the Parties are unable to reach an amicable settlement, the dispute shall be submitted to mediation in accordance with the rules of {{mediation_body}}.
Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
