DATE AND PARTIES

This Agreement is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{owner_name}} of {{owner_address}} (hereinafter referred to as "the Owner")

AND

{{contractor_name}} of {{contractor_address}} (hereinafter referred to as "the Contractor")

SCOPE OF WORK

The Contractor agrees to perform the following work (hereinafter referred to as "the Work") in accordance with the plans, specifications, and drawings attached hereto as Schedule A:

Any changes to the scope of work must be agreed upon in writing by both the Owner and the Contractor.

CONTRACT SUM AND PAYMENT TERMS

The Owner agrees to pay the Contractor the sum of {{currency}}{{contract_sum}} ({{contract_sum_words}}) for the satisfactory completion of the Work. This sum shall be paid in installments as follows:

COMMENCEMENT AND COMPLETION OF WORK

The Contractor shall commence the Work on {{start_date}} and shall diligently proceed with the Work to ensure its completion on or before {{end_date}}.

Time is of the essence in this Agreement.

RESPONSIBILITIES OF THE PARTIES

Owner's Responsibilities:

a) To provide access to the site for the Contractor and their personnel.

b) To ensure all necessary permits and approvals are obtained before the commencement of Work, unless otherwise agreed.

c) To make payments to the Contractor as per the agreed schedule.

Contractor's Responsibilities:

a) To perform the Work in a good and workmanlike manner, using suitable materials and equipment.

b) To ensure all personnel carrying out the Work are adequately skilled and supervised.

c) To comply with all relevant building codes, regulations, and safety standards.

d) To keep the work site clean and tidy.

DEFECTS LIABILITY PERIOD

The Contractor shall rectify any defects, shrinkage, or other faults which appear within {{defect_liability_period}} from the date of practical completion of the Work, at their own cost, provided such defects are due to faulty workmanship or materials.

TERMINATION OF AGREEMENT

This Agreement may be terminated by either party upon {{notice_period}} days' written notice if the other party breaches any material term of this Agreement and fails to remedy such breach within the notice period.

In the event of termination, the Contractor shall be paid for work satisfactorily completed up to the date of termination.

GOVERNING LAW AND DISPUTE RESOLUTION

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in accordance with the arbitration rules of {{arbitration_body}}.

GENERAL PROVISIONS

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

No amendment, waiver, or discharge of any provision of this Agreement shall be effective unless in writing and signed by both parties.
