Architectural Services Agreement
This Architectural Services Agreement ("Agreement") is made and entered into as of {{date_of_agreement}}
BETWEEN:
{{client_name}} (hereinafter referred to as "The Client"), with an address at {{client_address}}
AND
{{architect_firm_name}} (hereinafter referred to as "The Architect"), with a business address at {{architect_firm_address}}.
1. Scope of Services
1.1 The Architect shall provide architectural services for the project located at {{project_address}} ("The Project"), as described in Appendix A: Project Brief.
1.2 The services shall include, but not be limited to: {{list_of_services_e.g._conceptual_design,_design_development,_construction_documents,_contract_administration}}.
1.3 Any additional services requested by The Client outside the defined scope shall be subject to a separate written agreement and additional fees.
2. Fees and Payment
2.1 The Client shall pay The Architect a fee of {{total_fee_amount}} ({{total_fee_amount_in_words}}) for the services outlined in Section 1.
2.2 Payment shall be made in accordance with the following schedule:
- {{percentage_1}}% upon signing of this Agreement
- {{percentage_2}}% upon completion of {{milestone_1}}
- {{percentage_3}}% upon completion of {{milestone_2}}
- {{percentage_4}}% upon completion of construction documents
- The remaining {{percentage_5}}% upon practical completion of The Project.
2.3 Invoices shall be submitted by The Architect and are payable within {{payment_days}} days of receipt.
2.4 All fees are exclusive of Value Added Tax (VAT), which shall be charged at the prevailing rate.
3. Project Schedule
3.1 The Architect shall endeavour to complete the services within the timeframe set out in Appendix B: Project Schedule.
3.2 The Project Schedule may be adjusted by mutual written agreement of both parties due to unforeseen circumstances or changes in the scope of services.
4. Client's Responsibilities
4.1 The Client shall provide all necessary information, including accurate site surveys, existing building plans, and a clear project brief, in a timely manner.
4.2 The Client shall make decisions and provide approvals promptly to avoid delays in the project schedule.
4.3 The Client shall appoint all other consultants (e.g., structural engineer, quantity surveyor) as required for The Project.
5. Ownership of Documents
5.1 All drawings, specifications, and other documents prepared by The Architect are instruments of service and shall remain the property of The Architect.
5.2 The Client shall have a license to use these documents for the purposes of completing The Project, but not for any other purpose without prior written consent from The Architect.
6. Termination
6.1 Either party may terminate this Agreement by providing {{notice_days}} days' written notice to the other party if there is a material breach of the Agreement.
6.2 In the event of termination, The Client shall pay The Architect for all services rendered and reimbursable expenses incurred up to the date of termination.
7. Dispute Resolution
7.1 Any dispute arising out of or in connection with this Agreement shall first be referred to negotiation between senior representatives of both parties.
7.2 If the dispute cannot be resolved through negotiation within {{negotiation_days}} days, either party may refer the dispute to mediation in accordance with the rules of {{mediation_body}}.
8. Governing Law
8.1 This Agreement shall be governed by and construed in accordance with the laws of {{country_of_jurisdiction}}.
