Agreement Date

This Online Promotion Agreement ("Agreement") is entered into on this {{date_of_agreement}} day of {{month_of_agreement}}, {{year_of_agreement}}.

Parties

BETWEEN:

{{client_company_name}}, a company duly incorporated under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as "the Client").

AND

{{promoter_company_name}}, a company duly incorporated under the laws of {{promoter_jurisdiction}}, with its principal place of business at {{promoter_address}} (hereinafter referred to as "the Promoter").

The Client and the Promoter are hereinafter collectively referred to as "the Parties" and individually as "Party".

Recitals

WHEREAS, the Client is engaged in the business of {{client_business_description}} and wishes to promote its products/services online.

WHEREAS, the Promoter possesses expertise in online marketing and promotion services and is willing to provide such services to the Client.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

Scope of Services

The Promoter shall provide the following online promotion services to the Client:

1. Development and implementation of online marketing strategies for {{product_or_service_to_promote}}.

2. Creation and management of digital advertising campaigns on platforms such as {{social_media_platforms}}.

3. Content creation and dissemination (e.g., social media posts, blog articles, video content) as agreed upon in a separate content plan.

4. Search Engine Optimization (SEO) activities to improve organic search rankings.

5. Regular reporting on campaign performance, including but not limited to engagement rates, website traffic, and conversion rates.

Additional services may be agreed upon in writing by both Parties.

Payment Terms

1. The Client shall pay the Promoter a monthly fee of {{monthly_fee_amount}} ({{monthly_fee_currency}}) for the services rendered.

2. In addition to the monthly fee, the Client shall reimburse the Promoter for all approved advertising spend, supported by valid invoices or receipts.

3. Invoices will be issued by the Promoter on the {{invoice_day}} of each month and are payable within {{payment_due_days}} days of receipt.

4. All payments shall be made in {{payment_currency}} to the bank account specified by the Promoter.

Term and Termination

1. This Agreement shall commence on {{start_date}} and shall continue for an initial period of {{initial_term_months}} months, unless terminated earlier in accordance with the provisions of this Agreement.

2. Either Party may terminate this Agreement by giving {{notice_period_days}} days' written notice to the other Party.

3. In the event of a material breach of this Agreement by either Party, the non-breaching Party may terminate this Agreement immediately upon written notice, without prejudice to any other rights or remedies it may have.

Confidentiality

1. Both Parties agree to keep confidential all non-public information, including but not limited to business plans, marketing strategies, financial information, and customer data, disclosed during the term of this Agreement.

2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

Intellectual Property

1. All intellectual property rights in content created by the Promoter specifically for the Client under this Agreement shall vest in the Client upon full payment for the services.

2. The Promoter grants the Client a non-exclusive, royalty-free license to use any pre-existing intellectual property of the Promoter incorporated into the deliverables.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{jurisdiction_city}}, {{jurisdiction_country}}.
