RESALE AGREEMENT

This Reseller Agreement ("Agreement") is made and entered into as of {{date}} ("Effective Date"), by and between:

{{company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Supplier");

AND

{{reseller_company_name}}, a company duly incorporated under the laws of {{reseller_country_of_incorporation}}, with its principal place of business at {{reseller_address}} (hereinafter referred to as "Reseller").

Supplier and Reseller are hereinafter collectively referred to as the "Parties" and individually as a "Party".

1. Appointment and Acceptance

1.1. Subject to the terms and conditions of this Agreement, Supplier hereby appoints Reseller as a non-exclusive/exclusive (choose one) reseller of the Products/Services (as defined below) in the Territory (as defined below), and Reseller hereby accepts such appointment.

1.2. "Products/Services" shall mean {{description_of_products_services}}.

1.3. "Territory" shall mean {{territory_description}}.

2. Term and Termination

2.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{term_length}} years/months, unless earlier terminated in accordance with the provisions of this Agreement.

2.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

2.3. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.

3. Reseller's Obligations

3.1. Reseller shall use its best efforts to promote, market, and sell the Products/Services within the Territory.

3.2. Reseller shall maintain adequate sales and technical staff trained in the Products/Services.

3.3. Reseller shall comply with all applicable laws and regulations in its performance of this Agreement.

4. Supplier's Obligations

4.1. Supplier shall provide Reseller with product information, marketing materials, and technical support as reasonably required.

4.2. Supplier shall fulfill orders placed by Reseller in a timely manner.

4.3. Supplier shall provide training to Reseller's staff on the Products/Services as mutually agreed upon.

5. Pricing and Payment

5.1. Supplier shall provide Reseller with a reseller price list for the Products/Services, which may be updated from time to time.

5.2. Reseller shall be entitled to a discount of {{discount_percentage}}% on the retail price of the Products/Services.

5.3. Payment terms shall be {{payment_terms}} (e.g., net 30 days from invoice date).

6. Marketing and Branding

6.1. Reseller shall market the Products/Services under the Supplier's brand, in accordance with Supplier's branding guidelines.

6.2. Reseller shall not make any representations, warranties, or guarantees concerning the Products/Services that are inconsistent with or in addition to those made by Supplier without Supplier's prior written consent.

7. Confidentiality

7.1. Both Parties agree to keep confidential all proprietary and confidential information disclosed by the other Party, including but not limited to business plans, customer lists, pricing, and technical information.

7.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}}.

8. Limitation of Liability

8.1. Neither Party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with this Agreement.

8.2. The total liability of Supplier to Reseller for any claim arising out of or in connection with this Agreement shall not exceed the total amount paid by Reseller to Supplier under this Agreement during the {{number_of_months}} months preceding the claim.

9. Governing Law and Dispute Resolution

9.1. This Agreement shall be governed by and construed in accordance with the laws of {{applicable_country_law}}.

9.2. Any dispute arising out of or in connection with this Agreement shall be submitted to mediation in {{city}}, {{country}} in accordance with the rules of {{mediation_body}}. If mediation is unsuccessful, the dispute shall be resolved by arbitration in {{city}}, {{country}} in accordance with the rules of {{arbitration_body}}.

10. Entire Agreement

10.1. This Agreement constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, inducements, and conditions, express or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof.
