SUBCONTRACT AGREEMENT

This Subcontract Agreement ('Agreement') is made and entered into on this day, {{date}}, by and between:

{{main_contractor_company_name}}, a company duly incorporated under the laws of {{main_contractor_jurisdiction}}, with its principal place of business at {{main_contractor_address}} (hereinafter referred to as 'Main Contractor');

AND

{{subcontractor_company_name}}, a company duly incorporated under the laws of {{subcontractor_jurisdiction}}, with its principal place of business at {{subcontractor_address}} (hereinafter referred to as 'Subcontractor').

RECITAL

WHEREAS, the Main Contractor has entered into a primary agreement (the 'Main Contract') with {{client_company_name}} (the 'Client') to perform certain works/services described in the Main Contract;

AND WHEREAS, the Main Contractor desires to subcontract a portion of the works/services under the Main Contract to the Subcontractor, and the Subcontractor is willing to undertake such subcontracted works/services upon the terms and conditions hereinafter appearing.

SCOPE OF WORK

The Subcontractor shall perform the following works/services (the 'Subcontract Works') as detailed in Schedule A attached hereto: {{scope_of_work_description}}.

The Subcontract Works shall be performed in accordance with the specifications, drawings, and other documents provided by the Main Contractor, and as per the standards set forth in the Main Contract.

COMMENCEMENT AND COMPLETION DATES

The Subcontractor shall commence the Subcontract Works on {{start_date}} and shall complete the Subcontract Works by no later than {{completion_date}}.

Time is of the essence in this Agreement.

SUBCONTRACT PRICE AND PAYMENT TERMS

The total subcontract price for the satisfactory completion of the Subcontract Works shall be {{currency}} {{subcontract_price}} ({{subcontract_price_words}}).

Payment terms shall be as follows: {{payment_terms_description}}.

All invoices shall be submitted to the Main Contractor at {{main_contractor_payment_address}}.

MAIN CONTRACTOR'S OBLIGATIONS

The Main Contractor shall provide the Subcontractor with all necessary access to the work site and any relevant documentation required for the performance of the Subcontract Works.

The Main Contractor shall make payments to the Subcontractor in accordance with the agreed payment schedule.

SUBCONTRACTOR'S OBLIGATIONS

The Subcontractor shall perform the Subcontract Works with due diligence, skill, and care, using competent personnel and in a professional manner.

The Subcontractor shall comply with all applicable laws, regulations, and industry standards, as well as all safety requirements.

The Subcontractor shall be responsible for providing all necessary labour, equipment, and materials for the performance of the Subcontract Works, unless otherwise agreed in writing.

INSURANCE

The Subcontractor shall maintain adequate insurance coverage, including but not limited to public liability insurance and professional indemnity insurance, as required by law and as stipulated by the Main Contractor in Schedule B.

Proof of insurance shall be provided to the Main Contractor upon request.

INDEMNIFICATION

The Subcontractor shall indemnify and hold harmless the Main Contractor from and against any and all claims, liabilities, losses, damages, costs, and expenses (including legal fees) arising out of or in connection with the Subcontractor's performance of the Subcontract Works or breach of this Agreement.

TERMINATION

This Agreement may be terminated by either party upon {{notice_period}} days' written notice.

Either party may terminate this Agreement immediately in the event of a material breach by the other party that is not remedied within {{cure_period}} days of written notice of such breach.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement shall be resolved through {{dispute_resolution_method}} (e.g., arbitration, mediation, litigation in {{court_jurisdiction}}).

ENTIRE AGREEMENT

This Agreement, together with its schedules, constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
