Parties to the Agreement

This Trade Agreement (hereinafter referred to as the "Agreement") is made and entered into on this {{date_of_agreement}} day of {{month_of_agreement}}, {{year_of_agreement}}.

BETWEEN:

Party A and Party B are hereinafter collectively referred to as the "Parties" and individually as a "Party".

Purpose of the Agreement

The purpose of this Agreement is to establish the terms and conditions under which Party A shall supply {{goods_or_services_description}} to Party B, and Party B shall purchase and accept the same.

Party A agrees to supply the following goods/services:

Payment Terms

Payment shall be made by Party B to Party A as follows:

Delivery and Acceptance

Party B shall inspect the goods/services upon delivery/completion and notify Party A of any defects or non-conformities within {{inspection_days}} days. Failure to provide such notice shall constitute acceptance.

Warranties and Representations

Party A warrants that the goods/services supplied shall be of merchantable quality and fit for the purpose for which they are intended.

Both Parties represent that they have the full power and authority to enter into and perform this Agreement.

Confidentiality

Each Party agrees to keep confidential all information received from the other Party under this Agreement, which is designated as confidential or which by its nature ought to be considered confidential, for a period of {{confidentiality_period}} years from the date of disclosure.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [South Africa/Nigeria/Kenya/Ghana - specify country].

Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by negotiation between the Parties. Termination

Force Majeure

Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or strikes.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
