TRANSPORT CONTRACT

This Transport Contract ('Agreement') is made and entered into on this {{date}} day of {{month}}, {{year}}, by and between:

**{{company_name}}** (hereinafter referred to as 'the Client'), a company duly incorporated under the laws of [African Country], with its registered office at {{company_address}}.

AND

**{{transporter_name}}** (hereinafter referred to as 'the Transporter'), a company/individual duly registered under the laws of [African Country], with its registered office/address at {{transporter_address}}.

1. SCOPE OF SERVICES

1.1 The Client hereby engages the Transporter to provide transportation services for goods as specified in Appendix A (Schedule of Goods and Routes) attached hereto and incorporated by reference.

1.2 The Transporter shall transport goods from the designated loading points to the designated delivery points safely, efficiently, and in a timely manner, in accordance with the instructions provided by the Client.

2. DURATION OF AGREEMENT

2.1 This Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.

2.2 This Agreement may be renewed upon mutual written consent of both parties.

3. TRANSPORTER'S RESPONSIBILITIES

3.1 The Transporter shall provide roadworthy vehicles and qualified personnel for the safe transportation of goods.

3.2 The Transporter shall obtain all necessary permits, licenses, and insurance required for the provision of transport services.

3.3 The Transporter shall be responsible for the goods from the point of loading until successful delivery to the recipient, including any loss or damage during transit, unless otherwise agreed upon in writing.

3.4 The Transporter shall provide proof of delivery (e.g., signed waybills, delivery notes) for each consignment.

4. CLIENT'S RESPONSIBILITIES

4.1 The Client shall provide accurate and timely information regarding the goods to be transported, including nature, quantity, and specific handling instructions.

4.2 The Client shall ensure that goods are properly packaged and ready for transport at the agreed loading times.

4.3 The Client shall make payments to the Transporter as per the terms outlined in Section 5.

5. FEES AND PAYMENT TERMS

5.1 The Client shall pay the Transporter a fee of {{agreed_fee}} ({{currency}}) per consignment/per month, as outlined in Appendix B (Payment Schedule).

5.2 Payments shall be made within {{payment_days}} days of receiving a valid invoice from the Transporter.

6. INSURANCE

6.1 The Transporter shall maintain adequate Goods in Transit insurance covering loss or damage to goods during transportation. Proof of insurance shall be provided upon request.

6.2 The Client may, at their discretion, arrange for additional insurance coverage for specific high-value consignments.

7. INDEMNIFICATION

7.1 The Transporter agrees to indemnify and hold harmless the Client from any and all claims, liabilities, damages, and expenses arising from the Transporter's negligence or breach of this Agreement.

7.2 The Client agrees to indemnify and hold harmless the Transporter from any and all claims, liabilities, damages, and expenses arising from the Client's negligence in providing accurate information or goods for transport.

8. TERMINATION

8.1 Either party may terminate this Agreement by providing {{notice_period}} days' written notice to the other party.

8.2 This Agreement may be terminated with immediate effect by either party if the other party commits a material breach of its obligations under this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 This Agreement shall be governed by and construed in accordance with the laws of [African Country].

9.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through amicable negotiations between the parties.

10. ENTIRE AGREEMENT
