Travel Services Agreement
This Travel Services Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}} ('Effective Date'), by and between:
{{company_name}}, a company duly incorporated under the laws of [Relevant African Country, e.g., Kenya], with its principal place of business at {{company_address}} (hereinafter referred to as 'the Provider'); and
{{client_name}}, [ID type and number, e.g., a duly registered company/individual with National ID (or equivalent) number {{client_id_number}}], with its registered address at {{client_address}} (hereinafter referred to as 'the Client').
The Provider and the Client are hereinafter collectively referred to as 'the Parties' and individually as 'a Party'.
Recitals
WHEREAS, the Provider is engaged in the business of providing travel-related services, including but not limited to, flight bookings, accommodation arrangements, tour packages, and transport services.
WHEREAS, the Client desires to engage the Provider to arrange and provide certain travel services as specified in this Agreement and any attached schedules or itineraries.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:
Scope of Services
2.1 The Provider agrees to arrange and provide the travel services ('Services') as detailed in the attached Schedule A: Services Itinerary ('Schedule A'). Schedule A shall be deemed an integral part of this Agreement.
2.2 Services may include, but are not limited to: flight reservations, hotel bookings, car rentals, tour packages, visa assistance, and travel insurance.
2.3 Any changes or additions to the Services must be agreed upon in writing by both Parties and may incur additional charges.
Payment Terms
3.1 The Client shall pay the Provider the total amount as specified in Schedule A ('Total Fee').
3.2 A deposit of {{deposit_percentage}}% of the Total Fee, amounting to {{deposit_amount}} {{currency}}, shall be paid by the Client to the Provider upon signing this Agreement.
3.3 The remaining balance of the Total Fee, amounting to {{final_payment_amount}} {{currency}}, shall be paid by the Client no later than {{due_date}}.

3.5 All prices are quoted in {{currency}} [e.g., Kenyan Shillings (KES)] and are subject to change due to currency fluctuations or supplier price adjustments until full payment is received. Any such changes will be communicated to the Client promptly.
Cancellations and Refunds
4.1 Cancellation by Client: The Client must notify the Provider in writing of any cancellation. Cancellation charges will apply as follows:

- Between {{days_before_travel_2}} and {{days_before_travel_3}} days before the travel date: {{cancellation_fee_2}}% of the Total Fee.

4.2 Cancellation by Provider: The Provider reserves the right to cancel any Services due to unforeseen circumstances (e.g., natural disasters, political unrest, supplier failure). In such cases, the Provider will offer alternative arrangements or a full refund of payments made for the cancelled services, less any non-recoverable third-party costs.
4.3 Refunds, if applicable, will be processed within {{refund_days}} business days of the cancellation date.
Client's Responsibilities
5.1 The Client is responsible for ensuring all travellers have valid passports, visas, health certificates, and other necessary travel documents for all destinations.
5.2 The Client must provide accurate and complete information to the Provider for all bookings and arrangements.
5.3 The Client shall adhere to all local laws, customs, and regulations in the destinations visited.
5.4 The Client is advised to obtain comprehensive travel insurance to cover medical emergencies, trip cancellations, lost luggage, and other unforeseen events. The Provider can assist in arranging suitable insurance upon request.
Limitation of Liability
6.1 The Provider acts as an agent for various third-party suppliers (e.g., airlines, hotels, tour operators). The Provider shall not be liable for any loss, damage, injury, delay, or irregularity that may be occasioned by any act or omission of any such third-party suppliers.
6.2 The Provider's liability for any claim arising from this Agreement shall be limited to the total amount paid by the Client for the Services.
6.3 The Provider shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or revenue, arising out of or in connection with this Agreement.
Governing Law and Dispute Resolution
7.1 This Agreement shall be governed by and construed in accordance with the laws of [Relevant African Country, e.g., Kenya].
7.2 Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall first be subjected to amicable negotiations between the Parties.
7.3 If the dispute cannot be resolved amicably within {{negotiation_days}} days, it shall be referred to mediation in accordance with the rules of [Relevant Mediation Body, e.g., the Nairobi Centre for International Arbitration (NCIA)].
7.4 If mediation fails, the dispute shall be finally settled by arbitration in accordance with the rules of [Relevant Arbitration Body, e.g., the Nairobi Centre for International Arbitration (NCIA)], by one arbitrator appointed in accordance with the said Rules. The seat of arbitration shall be {{arbitration_city}}, [Relevant African Country]. The language of the arbitration shall be English.
Entire Agreement
8.1 This Agreement, including Schedule A, constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
Amendments
9.1 No amendment, modification, or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by duly authorized representatives of both Parties.
Force Majeure
10.1 Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, fires, floods, earthquakes, epidemics, pandemics, or government restrictions.
