Website Design Agreement

This Website Design Agreement ("Agreement") is entered into as of {{date}} ("Effective Date") by and between:

Client: {{client_company_name}}, a company duly incorporated under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter "Client").

AND

Designer: {{designer_company_name}}, a company duly incorporated under the laws of {{designer_jurisdiction}}, with its principal place of business at {{designer_address}} (hereinafter "Designer").

Collectively referred to as "Parties" and individually as "Party".

1. Project Scope and Deliverables

1.1 The Designer agrees to design and develop a website for the Client as described in Schedule A (Scope of Work and Deliverables).

1.2 The deliverables shall include, but not be limited to: {{number_of_pages}} web pages, custom graphic design, responsive design for mobile devices, basic SEO setup, and integration of {{specific_features_e.g._e-commerce_platform}}.

1.3 Any changes or additions to this scope of work must be agreed upon in writing by both Parties and may result in additional charges.

2. Development Schedule

2.1 The Designer shall commence work on the project on {{start_date}} and agrees to complete the project by {{completion_date}}, subject to the timely provision of content and feedback from the Client.

2.2 Key milestones for the project are outlined in Schedule B (Project Milestones).

3. Payment Terms

3.1 The total fee for the services rendered under this Agreement shall be {{total_fee_currency_and_amount}} ({{total_fee_words}}).

3.2 Payment shall be made in the following installments:

a) {{initial_deposit_percentage}}% ({{initial_deposit_currency_and_amount}}) non-refundable deposit upon signing of this Agreement.

4. Client Responsibilities

4.1 The Client agrees to provide all necessary content, including text, images, logos, and other materials, by {{content_submission_deadline_date}}.

4.2 The Client shall provide timely feedback and approvals required for the progression of the project.

4.3 The Client is responsible for obtaining all necessary rights, permissions, and licenses for any third-party materials provided to the Designer for inclusion in the website.

5. Intellectual Property

5.1 Upon full payment of all fees due under this Agreement, the Client shall own all intellectual property rights in the final website design and code.

5.2 The Designer retains the right to display the completed website in their portfolio for promotional purposes.

6. Confidentiality

6.1 Both Parties agree to keep confidential all non-public information shared during the course of this project.

6.2 This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

7. Termination

7.1 Either Party may terminate this Agreement with {{notice_period_days}} days written notice if the other Party breaches any material term of this Agreement and fails to cure such breach within that period.

7.2 In the event of termination by the Client without cause, the Client agrees to pay for all work completed up to the date of termination on a pro-rata basis, in addition to any non-refundable deposits.

8. Governing Law and Dispute Resolution

8.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

8.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{jurisdiction_city_or_country}}.

9. Entire Agreement

9.1 This Agreement, including all schedules attached hereto, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
