1. Introduction

This letter confirms the agreement between {{company_name}} (hereinafter referred to as "the Consultant") and {{client_company_name}} (hereinafter referred to as "the Client") for the provision of consulting services as detailed herein.

2. Scope of Services

The Consultant agrees to provide the following services (hereinafter referred to as "the Services") to the Client:

3. Deliverables

The Consultant shall operate as an independent contractor and not as an employee, partner, or joint venturer of the Client. The Consultant shall be solely responsible for all taxes and other liabilities arising from the compensation paid under this agreement.

8. Limitation of Liability

The Consultant's total liability under this agreement, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client for the Services outlined in this letter.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of {{country/region}}, without regard to its conflict of laws principles.

10. Entire Agreement

This letter constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the subject matter hereof.
