Architectural Services Agreement
This Architectural Services Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{client_name}}, residing at {{client_address}} (hereinafter referred to as "the Client").
AND
{{architect_name}}, a registered architect with registration number {{architect_registration_number}}, whose principal place of business is at {{architect_address}} (hereinafter referred to as "the Architect").
Collectively referred to as "the Parties".
Scope of Services
The Architect shall provide the following architectural services for the project located at {{project_address}} ("the Project"):
1. **Feasibility Studies & Concept Design:** Initial consultation, site analysis, and preparation of preliminary conceptual designs, including sketches and massing studies.
2. **Schematic Design Phase:** Development of schematic design documents illustrating the scale and relationship of project components, including a preliminary estimate of the cost of the work.
3. **Design Development Phase:** Further refinement of the schematic design, incorporating materials, systems, and detailed dimensions.
4. **Construction Document Phase:** Preparation of detailed drawings and specifications setting forth the requirements for the construction of the Project.
5. **Tender Assistance Phase:** Assistance in the tender process, including responding to queries from contractors and evaluating tenders.
6. **Construction Administration Phase:** Site visits, review of contractor submittals, and certification of payments to the contractor, as outlined in the construction contract.
Fees and Payment
1. **Professional Fees:** The Client shall pay the Architect a professional fee of {{fee_amount}} ({{currency}} {{fee_amount_words}}) for the services rendered under this Agreement. This fee shall be structured as follows:
a. {{percentage_concept_design}}% upon completion of Feasibility Studies & Concept Design.

c. {{percentage_design_development}}% upon completion of Design Development Phase.
d. {{percentage_construction_documents}}% upon completion of Construction Document Phase.
e. {{percentage_tender_assistance}}% upon completion of Tender Assistance Phase.
f. {{percentage_construction_administration}}% during Construction Administration Phase, invoiced monthly based on work completed.
2. **Disbursements and Reimbursable Expenses:** In addition to the professional fees, the Client shall reimburse the Architect for all reasonable and approved out-of-pocket expenses incurred in connection with the Project, including but not limited to printing, travel, and consultant fees. These expenses will be invoiced at cost plus an administration fee of {{administration_fee_percentage}}% where applicable.
3. **Payment Terms:** All invoices are due and payable within {{payment_due_days}} days of the invoice date. Late payments may incur interest at a rate of {{interest_rate}}% per annum.
Client's Responsibilities
The Client shall:
1. Provide all necessary information and documentation relevant to the Project in a timely manner.
2. Make timely decisions and approvals required for the Architect to progress with the services.
3. Appoint and pay for other consultants (e.g., structural engineers, quantity surveyors) as advised by the Architect.
4. Grant the Architect access to the Project site as required.
5. Promptly review documents and provide instructions.
Terms and Termination
1. This Agreement shall commence on the date first written above and shall continue until the completion of the Project or until terminated by either Party.
2. Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement.
3. Upon termination, the Architect shall be compensated for all services satisfactorily rendered up to the termination date, plus all reimbursable expenses incurred.
Intellectual Property
All designs, drawings, specifications, and other documents prepared by the Architect are instruments of service and shall remain the property of the Architect. The Client shall be permitted to use these documents solely for the purpose of completing and maintaining the Project, provided all fees are paid in full.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute arising out of or in connection with this Agreement shall be subject to amicable negotiation between the Parties. Should an amicable resolution not be reached within {{negotiation_days}} days, the dispute shall be submitted to mediation in accordance with the rules of {{mediation_body}}. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof. Any modification to this Agreement must be in writing and signed by both Parties.
