Architectural Services Agreement

This Architectural Services Agreement (“Agreement”) is made and entered into on this {{date}} day of {{month}}, {{year}}, by and between:

**{{architect_company_name}}** (hereinafter referred to as “the Architect”), a company duly registered under the laws of {{country}}, with its principal place of business at {{architect_company_address}}.

AND

**{{client_company_name}}** (hereinafter referred to as “the Client”), a company duly registered under the laws of {{country}}, with its principal place of business at {{client_company_address}}.

Collectively referred to as “the Parties”.

1. Project Description

The Client wishes to engage the Architect to provide architectural services for the following project (hereinafter referred to as “the Project”):

2. Scope of Services

The Architect shall provide the following services, as more fully described in Appendix A (Scope of Services) attached hereto and forming an integral part of this Agreement:

2.1. **Schematic Design Phase:** Development of preliminary design concepts, including site utilization, spatial relationships, and aesthetic considerations.

2.2. **Design Development Phase:** Refinement of the approved schematic design, including material selection, structural systems, and building services.

2.3. **Construction Documents Phase:** Preparation of detailed drawings and specifications necessary for construction, including architectural, structural, mechanical, electrical, and plumbing documentation.

2.4. **Tender Assistance Phase:** Assistance in the tender process, including preparing tender documents, issuing addenda, and evaluating bids.

2.5. **Construction Administration Phase:** Site visits, review of shop drawings, contractor payment applications, and general administration of the construction contract.

3. Fees and Payment

3.1. **Fee Structure:** The Client agrees to pay the Architect a professional fee of {{fee_amount}} ({{currency}}) for the services rendered. This fee shall be structured as follows:

a. {{percentage_schematic_design}}% upon completion of Schematic Design Phase.

b. {{percentage_design_development}}% upon completion of Design Development Phase.

e. {{percentage_construction_administration}}% during Construction Administration Phase, billed monthly based on work performed.

3.2. **Expenses:** In addition to the professional fee, the Client shall reimburse the Architect for all approved out-of-pocket expenses incurred in connection with the Project, including but not limited to travel, printing, and reproduction costs, subject to prior written approval by the Client.

3.3. **Payment Terms:** All invoices are due and payable within {{payment_days}} days of receipt. Interest at the rate of {{interest_rate}}% per annum shall be charged on overdue payments.

4. Client's Responsibilities

The Client shall:

4.1. Provide all necessary information and approvals in a timely manner.

4.2. Designate a representative authorized to act on behalf of the Client with respect to the Project.

4.3. Secure and pay for all necessary surveys, geotechnical investigations, and environmental studies.

4.4. Provide access to the Project site as required for the Architect to perform the services.

5. Intellectual Property

All designs, drawings, specifications, and other documents prepared by the Architect in connection with the Project shall remain the intellectual property of the Architect. The Client shall be granted a license to use these documents solely for the purpose of constructing, operating, and maintaining the Project.

6. Termination

6.1. Either Party may terminate this Agreement upon {{notice_days}} days’ written notice if the other Party breaches any material term of this Agreement and fails to remedy such breach within the notice period.

6.2. In the event of termination by the Client for convenience, the Client shall pay the Architect for all services performed up to the date of termination, plus all reimbursable expenses and a termination fee of {{termination_fee_amount}} ({{currency}}).

7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute arising out of or in connection with this Agreement shall be subject to amicable negotiation. If not resolved, the dispute shall be referred to mediation. If mediation fails, the dispute shall be submitted to binding arbitration in {{city}}, {{country}}, in accordance with the rules of {{arbitration_institution}}.

8. Entire Agreement

This Agreement, including all attached appendices, constitutes the entire understanding between the Parties and supersedes all prior agreements, negotiations, and discussions, whether written or oral, relating to the subject matter hereof. Any amendments to this Agreement must be in writing and signed by both Parties.
