Contract for Logistics Services
This Contract for Logistics Services (the “Agreement”) is entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{client_company_name}}, a company duly organized and existing under the laws of {{client_country}}, with its principal place of business at {{client_address}} (hereinafter referred to as the “Client”), and
{{logistics_provider_company_name}}, a company duly organized and existing under the laws of {{provider_country}}, with its principal place of business at {{provider_address}} (hereinafter referred to as the “Logistics Provider”).
The Client and the Logistics Provider are hereinafter collectively referred to as the “Parties” and individually as a “Party.”
1. Scope of Services
1.1. The Logistics Provider agrees to provide logistics services to the Client, which may include, but are not limited to, transportation, warehousing, freight forwarding, customs clearance, and distribution services (the “Services”) as detailed in Schedule A attached hereto and incorporated by reference.
1.2. The specific details of each service request, including routes, delivery schedules, goods specifications, and any special handling requirements, shall be communicated by the Client to the Logistics Provider through a Work Order (hereinafter referred to as the “Work Order”). Each Work Order shall be subject to the terms and conditions of this Agreement.
2. Term and Termination
2.1. This Agreement shall commence on the Effective Date and shall continue for an initial term of {{initial_term_duration}} (e.g., one year) unless terminated earlier in accordance with the provisions herein.
2.2. Either Party may terminate this Agreement by providing {{notice_period}} days’ written notice to the other Party.
2.3. Either Party may terminate this Agreement immediately upon written notice if the other Party breaches any material term or condition of this Agreement and fails to cure such breach within {{cure_period}} days after receiving written notice thereof.
3. Fees and Payment
3.1. The Client shall pay the Logistics Provider for the Services rendered in accordance with the rates and payment terms specified in Schedule B attached hereto and incorporated by reference. All fees are quoted in {{currency_code}}.
3.2. Invoices shall be submitted by the Logistics Provider to the Client on a {{billing_frequency}} basis (e.g., monthly, weekly) and shall be payable within {{payment_terms}} days from the date of the invoice.
3.3. Late payments shall be subject to an interest charge of {{interest_rate}}% per annum, or the maximum amount permitted by law, whichever is lower.
4. Responsibilities of the Parties
4.1. **Logistics Provider Responsibilities**: The Logistics Provider shall perform the Services with due care, skill, and diligence, in a professional and workmanlike manner, and in compliance with all applicable laws and regulations.
4.2. **Client Responsibilities**: The Client shall provide accurate and timely information regarding the goods, including descriptions, weights, dimensions, and any special handling instructions. The Client shall also ensure that all goods are properly packaged and labeled for transportation.
5. Insurance
5.1. The Logistics Provider shall maintain adequate insurance coverage, including cargo liability insurance, general liability insurance, and workers’ compensation insurance, as required by law and industry standards. Proof of insurance shall be provided to the Client upon request.
5.2. The Client is responsible for insuring its goods against all risks during transit and storage, unless otherwise agreed upon in writing.
6. Indemnification
6.1. Each Party shall indemnify, defend, and hold harmless the other Party, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or relating to its breach of this Agreement or its negligence or willful misconduct.
7. Governing Law and Dispute Resolution
7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.
7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through amicable negotiations between the Parties. If the Parties are unable to reach an amicable settlement, the dispute shall be submitted to mediation in accordance with the rules of {{mediation_body}}.
7.3. If mediation is unsuccessful, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_body}}.
8. Entire Agreement
8.1. This Agreement, including all attached schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
