Equipment Operating Lease Agreement

This Equipment Operating Lease Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{date}} day of {{month}}, {{year}}, by and between:

{{Lessor_company_name}}, a company duly incorporated and existing under the laws of {{Lessor_jurisdiction}}, with its principal place of business at {{Lessor_address}} (hereinafter referred to as the 'Lessor'); and

{{Lessee_company_name}}, a company duly incorporated and existing under the laws of {{Lessee_jurisdiction}}, with its principal place of business at {{Lessee_address}} (hereinafter referred to as the 'Lessee').

The Lessor and Lessee are hereinafter collectively referred to as the 'Parties' and individually as a 'Party'.

1. Lease of Equipment

1.1. The Lessor hereby agrees to lease to the Lessee, and the Lessee hereby agrees to lease from the Lessor, the equipment described in Schedule A attached hereto (hereinafter referred to as the 'Equipment').

1.2. The Lessee acknowledges that it has inspected the Equipment and found it to be in good working order and suitable for its intended purpose.

2. Lease Term

2.1. The term of this Agreement shall commence on {{commencement_date}} and shall continue for a period of {{lease_term_months}} months, ending on {{termination_date}} (hereinafter referred to as the 'Lease Term').

2.2. This Agreement may be renewed for a further period upon mutual written agreement of both Parties, subject to new terms and conditions.

3. Lease Payments

3.1. The Lessee shall pay to the Lessor a monthly lease payment of {{currency}} {{monthly_lease_amount}} ({{monthly_lease_amount_words}}) on the {{payment_day}} day of each month, commencing from {{first_payment_date}}.

3.2. All lease payments shall be made in {{currency}} to the Lessor's designated bank account: {{Lessor_bank_name}}, Account Number: {{Lessor_account_number}}, SWIFT Code: {{Lessor_swift_code}}.

3.3. Any late payments shall incur a penalty of {{late_payment_penalty_percentage}}% per month on the overdue amount.

4. Maintenance and Repairs

4.1. The Lessee shall be responsible for the routine maintenance and minor repairs of the Equipment during the Lease Term.

4.2. Major repairs or replacements due to normal wear and tear shall be the responsibility of the Lessor, unless such damage is caused by the negligence or misuse of the Lessee.

5. Insurance

5.1. The Lessee shall, at its own expense, obtain and maintain comprehensive insurance coverage for the Equipment against loss, theft, damage, and public liability, for the duration of the Lease Term.

5.2. The Lessor shall be named as an additional insured on all such insurance policies.

6. Default

6.1. In the event of a default by the Lessee in the payment of any lease payment or the breach of any other term or condition of this Agreement, the Lessor shall have the right to terminate this Agreement and repossess the Equipment without prior notice.

6.2. The Lessee shall be liable for any costs incurred by the Lessor in repossessing the Equipment and for any outstanding lease payments.

7. Governing Law and Dispute Resolution

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

7.2. Any dispute, controversy or claim arising out of or in connection with this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}}.

8. Entire Agreement

8.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
