ONLINE SUBSCRIPTION AGREEMENT

This Online Subscription Agreement (the "Agreement") is entered into on this {{date}} by and between:

{{company_name}}, a company duly incorporated and existing under the laws of {{jurisdiction}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Service Provider"); and

{{subscriber_name}}, a company/individual duly identified and existing under the laws of {{subscriber_jurisdiction}}, with its principal place of business/residential address at {{subscriber_address}} (hereinafter referred to as "Subscriber").

Collectively referred to as “the Parties”.

1. DEFINITIONS

1.1. "Service" refers to the online subscription service provided by Service Provider as described in Section 2.

1.2. "Subscription Fee" refers to the recurring fee payable by the Subscriber for access to the Service.

1.3. "Subscription Term" refers to the period during which the Subscriber is granted access to the Service, as defined in Section 4.

1.4. "Effective Date" refers to the date on which this Agreement comes into force, as specified above.

2. DESCRIPTION OF SERVICE

The Service Provider agrees to provide the Subscriber with access to {{description_of_service_features}} (hereinafter referred to as the "Service"). The Service includes, but is not limited to, the features and functionalities detailed on the Service Provider's website at {{service_website_url}}.

3. SUBSCRIPTION FEES AND PAYMENT

3.1. The Subscriber agrees to pay the Service Provider a recurring Subscription Fee of {{currency}} {{amount}} per {{billing_cycle}}.

3.2. All Subscription Fees are payable in advance on the first day of each {{billing_cycle}}.

3.3. Payment shall be made via {{payment_method}}.

3.4. The Service Provider reserves the right to change the Subscription Fees upon {{notice_period}} days' written notice to the Subscriber. Such changes will take effect at the beginning of the next Subscription Term.

3.5. Overdue payments will incur interest at a rate of {{interest_rate}}% per annum, calculated daily from the due date until full payment is received.

4. SUBSCRIPTION TERM AND TERMINATION

4.1. This Agreement shall commence on the Effective Date and shall continue for an initial term of {{initial_term}} (the "Initial Term"), and thereafter shall automatically renew for successive {{renewal_term}} periods (each a "Renewal Term") unless terminated earlier in accordance with the provisions of this Agreement.

4.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party prior to the end of the then-current Subscription Term.

4.3. The Service Provider may terminate this Agreement immediately if the Subscriber breaches any of its obligations hereunder, including but not limited to failure to pay Subscription Fees.

4.4. Upon termination of this Agreement, the Subscriber's access to the Service will be immediately revoked. No refunds will be provided for any unused portion of the Subscription Term, unless otherwise agreed in writing.

5. USE OF SERVICE

5.1. The Subscriber agrees to use the Service in accordance with this Agreement and all applicable laws and regulations.

5.2. The Subscriber shall not (a) sublicense, resell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Service; (b) modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Service; or (c) use the Service for any unlawful or unauthorized purpose.

6. CONFIDENTIALITY

6.1. Each Party agrees to maintain the confidentiality of all confidential information disclosed by the other Party during the term of this Agreement.

6.2. Confidential information includes, but is not limited to, business plans, financial information, customer data, and technical data.

6.3. The obligations of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

7. LIMITATION OF LIABILITY

7.1. To the maximum extent permitted by law, the Service Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use, or alteration of your transmissions or content.

7.2. In no event shall the Service Provider’s aggregate liability for all claims relating to the Service exceed the total amount of Subscription Fees paid by the Subscriber to the Service Provider during the {{liability_period}} months immediately preceding the date of the claim.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

8.2. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of {{arbitration_body}}.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, whether written or oral.
