Real Estate Commission Agreement

This Real Estate Commission Agreement (the "Agreement") is made and entered into as of {{effective_date}}, by and between {{broker_company_name}} ("Broker"), located at {{broker_address}}, and {{seller_buyer_name}} ("Client"), located at {{client_address}}.

Recitals

WHEREAS, Client desires to retain Broker for the purpose of {{selling_leasing_buying}} the property located at {{property_address}} (the "Property"); and

WHEREAS, Broker is a licensed real estate broker in good standing and is authorized to provide such services.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

Engagement of Broker

Client hereby engages Broker as the exclusive {{selling_leasing_buying}} agent for the Property, and Broker hereby accepts such engagement.

Commission Structure

Client agrees to pay Broker a commission equal to {{commission_percentage}}% of the {{sale_lease_price}} of the Property, or a fixed fee of {{fixed_fee_amount}} (whichever is applicable), upon the successful completion of the transaction as defined herein. The commission shall be earned and payable upon the earliest of:

a) The closing of the sale or lease of the Property.

b) Client's refusal to close a transaction for which a ready, willing, and able buyer/tenant has been presented under the terms and conditions acceptable to Client.

c) Client's breach of this Agreement.

Payment Terms

The commission shall be paid to Broker from the proceeds of the sale or lease at the time of closing. If the transaction does not close due to the fault of the Client, the commission shall be payable within {{days_after_default}} days of such default.

Broker's Responsibilities

Broker agrees to use best efforts to {{market_sell_lease_find_property}} the Property, including but not limited to, advertising, showing the Property to prospective {{buyers_tenants}}, and assisting in negotiations.

Client's Responsibilities

Client agrees to provide Broker with all necessary information and documentation regarding the Property, cooperate fully with Broker, and refer all inquiries regarding the Property to Broker.

Term and Termination

This Agreement shall commence on {{start_date}} and continue until {{end_date}}, or until the Property is {{sold_leased}}, whichever occurs first. This Agreement may be terminated by either party with {{notice_period}} days' written notice.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country_state_jurisdiction}}.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
