SALE AGREEMENT FOR INTERNATIONAL GOODS

This Sale Agreement for International Goods (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}} (the 'Effective Date') by and between:

The Seller and the Buyer are hereinafter collectively referred to as 'the Parties' and individually as 'a Party'.

1. GOODS

The Seller agrees to sell and the Buyer agrees to purchase the following goods (hereinafter referred to as the 'Goods'):

2. PRICE AND PAYMENT

2.1 The total purchase price for the Goods is {{currency}} {{total_purchase_price}} (the 'Purchase Price').

2.2 The Purchase Price shall be paid in {{payment_currency}} by the Buyer to the Seller in accordance with the following payment schedule:

a) An advance payment of {{currency}} {{advance_payment_amount}} shall be made upon the signing of this Agreement.

b) The remaining balance of {{currency}} {{remaining_balance_amount}} shall be paid within {{days_due}} days of successful delivery and acceptance of the Goods.

3. DELIVERY TERMS

3.1 Delivery of the Goods shall be Ex Works (EXW) {{place_of_delivery}} (Incoterms 2020).

3.2 The Seller shall make the Goods available for collection at its premises on or before {{delivery_date}}.

3.3 The Buyer shall be responsible for all costs and risks associated with and from the loading of the Goods at the Seller’s premises, including transportation, insurance, customs duties, and taxes related to the import of the Goods into {{buyer_country}}.

4. WARRANTIES

4.1 The Seller warrants that the Goods delivered shall conform to the description and specifications provided in Section 1 of this Agreement.

4.2 The Seller warrants that it has good and marketable title to the Goods and that the Goods are free from any liens, encumbrances, or other claims.

5. GOVERNING LAW AND DISPUTE RESOLUTION

5.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

5.2 Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}}.

6. FORCE MAJEURE

6.1 Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, or strikes (hereinafter referred to as 'Force Majeure Event').

6.2 The Party affected by a Force Majeure Event shall promptly notify the other Party of the occurrence of such event and its expected duration.

7. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.

8. ACKNOWLEDGMENT AND SIGNATURE

IN WITNESS WHEREOF, the Parties have executed this Sale Agreement for International Goods as of the Effective Date first written above.
