Sales Agreement

This Sales Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, between:

Seller: {{seller_company_name}}, a company duly incorporated under the laws of {{seller_jurisdiction}}, with its principal place of business at {{seller_address}} ("Seller").

And

Collectively, the Seller and Buyer shall be referred to as "Parties" and individually as "Party".

1. Goods

The Seller agrees to sell, and the Buyer agrees to purchase, the following goods (the "Goods"):

2. Purchase Price and Payment

2.1. The total purchase price for the Goods is {{total_price_words}} ({{total_price_figures}}), inclusive of any applicable taxes.

2.3. Payment is due on or before {{payment_due_date}}.

2.4. In the event of late payment, the Buyer shall be liable to pay interest at a rate of {{interest_rate}}% per annum on the outstanding amount, calculated from the due date until the date of full payment.

3. Delivery

3.1. The Seller shall deliver the Goods to the Buyer at {{delivery_address}} on or before {{delivery_date}}.

3.2. Delivery shall be deemed complete upon the Buyer's receipt of the Goods, evidenced by a signed delivery note or equivalent document.

4. Risk and Title

4.1. Risk of loss or damage to the Goods shall pass to the Buyer upon delivery.

4.2. Title to the Goods shall remain with the Seller until full payment of the purchase price has been received.

5. Warranties

5.1. The Seller warrants that the Goods supplied shall conform to the description and be free from material defects in workmanship and materials for a period of {{warranty_period}} from the date of delivery.

5.2. This warranty does not cover defects arising from misuse, neglect, accident, improper installation, or modification by the Buyer.

6. Limitation of Liability

6.1. The Seller's total liability under this Agreement, whether in contract, tort, or otherwise, shall not exceed the total purchase price of the Goods.

6.2. The Seller shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.

7. Governing Law and Dispute Resolution

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, including the breach, termination, or validity thereof, shall be resolved through negotiation between the Parties.

7.3. If the Parties are unable to resolve the dispute through negotiation within {{negotiation_period}} days, the dispute shall be submitted to mediation in accordance with the rules of {{mediation_body}}.

7.4. If mediation is unsuccessful, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_body}}.

8. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and representations, whether written or oral, relating to the subject matter hereof.

9. Amendments

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both Parties.
