Simple Accounting Services Agreement
Parties
This Accounting Services Agreement ("Agreement") is made and entered into as of {{effective_date}} ("Effective Date"), by and between:
{{service_provider_company_name}}, a company duly incorporated and existing under the laws of {{jurisdiction_service_provider}}, with its principal place of business located at {{service_provider_address}} (hereinafter referred to as the "Service Provider"); and
{{client_company_name}}, a company duly incorporated and existing under the laws of {{jurisdiction_client}}, with its principal place of business located at {{client_address}} (hereinafter referred to as the "Client").
Service Provider and Client are hereinafter collectively referred to as the "Parties" and individually as a "Party".
Services Provided
The Service Provider agrees to provide the following accounting services to the Client (hereinafter referred to as the "Services"):
1. Bookkeeping Services: Recording of financial transactions, reconciliation of bank statements, and maintenance of ledgers.
2. Financial Statement Preparation: Preparation of monthly, quarterly, or annual financial statements, including income statements, balance sheets, and cash flow statements.
3. Payroll Processing: Calculation of wages, salaries, deductions, and preparation of payslips for {{number_of_employees}} employees.
4. Tax Return Preparation: Preparation and filing of {{tax_type}} tax returns.

Term of Agreement
This Agreement shall commence on the Effective Date and shall continue for a period of {{term_length}} (e.g., one year) unless terminated earlier in accordance with the provisions of this Agreement. Thereafter, this Agreement shall automatically renew for successive {{renewal_period}} periods unless either Party provides written notice of non-renewal at least {{notice_period}} days prior to the end of the then-current term.
Fees and Payment
1. Fees: The Client agrees to pay the Service Provider the following fees for the Services:

b. Hourly Rate for Additional Services: {{currency}} {{hourly_rate}} per hour for any services outside the scope of the agreed-upon Services, as mutually agreed upon in writing.

2. Invoicing and Payment: Invoices will be issued on the {{invoice_day}} of each month and are payable within {{payment_terms_days}} days of the invoice date. Payments shall be made to the bank account specified by the Service Provider.
3. Late Payments: A late payment interest charge of {{late_payment_interest_rate_percent}}% per month will be applied to all overdue invoices.
Client Obligations
The Client agrees to:
1. Provide all necessary financial information and documents to the Service Provider in a timely and accurate manner.
2. Ensure that all information provided is complete, true, and accurate.
3. Designate a primary contact person for communication with the Service Provider.
4. Notify the Service Provider of any significant changes in business operations, financial structure, or legal status.
Service Provider Obligations
The Service Provider agrees to:
1. Perform the Services with due care, skill, and diligence, in accordance with generally accepted accounting principles and applicable professional standards.
2. Maintain strict confidentiality of all Client financial and business information.
3. Keep accurate records of all work performed and provide reports as agreed upon.
4. Advise the Client on any material discrepancies or issues observed during the provision of services.
Confidentiality
Both Parties agree to keep confidential all information (including, but not limited to, financial, business, and personal information) obtained from the other Party during the term of this Agreement. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.
Termination
This Agreement may be terminated:
1. By mutual written agreement of both Parties.
2. By either Party with {{termination_notice_days}} days’ written notice.
3. Immediately by either Party in the event of a material breach of this Agreement by the other Party, provided that the breaching Party fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.
Limitation of Liability
The Service Provider’s total liability for any claim arising out of or in connection with this Agreement, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client to the Service Provider hereunder during the {{liability_period}} months preceding the date on which the claim arose. The Service Provider shall not be liable for any indirect, incidental, special, or consequential damages.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of {{arbitration_institution}} in {{arbitration_location}}.
Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the provision of accounting services and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
