Storage Agreement

This Storage Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{storage_provider_company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its registered office at {{storage_provider_address}} (hereinafter referred to as 'Storage Provider'); and

{{client_company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its registered office at {{client_address}} (hereinafter referred to as 'Client').

Collectively referred to as 'Parties' and individually as 'Party'.

Purpose of Agreement

The Client desires to store certain goods and/or property with the Storage Provider, and the Storage Provider agrees to provide storage services in accordance with the terms and conditions set forth in this Agreement.

Description of Goods to be Stored

The Client shall provide a detailed inventory of the goods to be stored (hereinafter referred to as 'Goods') in Schedule A, attached hereto and forming an integral part of this Agreement. The Client warrants that it is the lawful owner of the Goods or has the legal right to store such Goods with the Storage Provider.

Storage Period

The initial storage period shall commence on {{start_date}} and shall continue for a period of {{period_in_months}} months/years, expiring on {{end_date}}. Thereafter, this Agreement may be renewed for successive periods upon mutual written agreement of both Parties.

Storage Fees and Payment Terms

The Client shall pay the Storage Provider a storage fee of {{currency}} {{storage_fee_amount}} per {{period_of_charge}} (e.g., month, quarter) for the storage of the Goods. Payment shall be due on the {{day_of_month_payment_due}} of each {{period_of_charge}}. All payments shall be made in {{currency}} to the bank account specified by the Storage Provider.

Failure to pay storage fees within {{grace_period_days}} days of the due date may result in a late payment penalty of {{currency}} {{late_fee_amount}} and/or the Storage Provider exercising a lien over the Goods as provided in Clause 8.

Responsibilities of the Storage Provider

The Storage Provider shall exercise reasonable care in the warehousing and handling of the Goods.

The Storage Provider shall maintain adequate security measures to protect the Goods from theft, damage, or unauthorized access.

The Storage Provider shall provide a storage facility that is suitable for the nature of the Goods being stored.

Responsibilities of the Client

The Client shall ensure that the Goods are properly packaged and labelled for storage.

The Client shall notify the Storage Provider of any special storage requirements for the Goods.

The Client shall not store any hazardous, illegal, or perishable goods without prior written consent from the Storage Provider.

Insurance

The Client is solely responsible for insuring the Goods against loss, damage, or theft. The Storage Provider shall not be responsible for insuring the Goods, and its liability in the event of loss or damage shall be limited as per Clause 9.

It is strongly recommended that the Client obtains appropriate insurance coverage for the full value of the Goods.

Limitation of Liability

The Storage Provider's liability for any loss or damage to the Goods, howsoever arising, shall be limited to {{currency}} {{liability_limit_amount}} per item or {{currency}} {{total_liability_limit_amount}} in total, whichever is less. The Storage Provider shall not be liable for indirect, consequential, or special damages.

This limitation of liability shall not apply in cases of gross negligence or wilful misconduct by the Storage Provider.

Termination

Either Party may terminate this Agreement by giving {{notice_period_days}} days' prior written notice to the other Party.

In the event of termination, the Client shall promptly remove the Goods from the Storage Provider's facility and settle any outstanding fees.

The Storage Provider may terminate this Agreement immediately if the Client breaches any material term of this Agreement, including but not limited to failure to pay storage fees.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through negotiation in good faith between the Parties. If the Parties are unable to resolve the dispute amicably, the dispute shall be referred to mediation in accordance with the rules of {{mediation_institution}} in {{city}}, before resorting to litigation.

Failing successful mediation, the dispute shall be submitted to the exclusive jurisdiction of the courts of {{country}}.
