Dispute Resolution Agreement
PARTIES TO THE AGREEMENT
This Agreement is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
Party A: {{party_a_name}}, with its principal place of business at {{party_a_address}} (hereinafter referred to as "Party A").
Party B: {{party_b_name}}, with its principal place of business at {{party_b_address}} (hereinafter referred to as "Party B").

BACKGROUND TO THE DISPUTE
WHEREAS, a dispute has arisen between the Parties concerning {{brief_description_of_dispute}} (hereinafter referred to as "the Dispute").
WHEREAS, the Parties desire to resolve the Dispute amicably and efficiently, and have agreed to enter into this Dispute Resolution Agreement to outline the process for achieving such resolution.
DISPUTE RESOLUTION METHOD
The Parties agree to resolve the Dispute through the following method(s) (select one or more and specify details):
1. **Negotiation:** The Parties shall first attempt to resolve the Dispute through direct good-faith negotiations. These negotiations shall commence within {{number_of_days_negotiation}} days of the signing of this Agreement.
2. **Mediation:** If negotiation fails to resolve the Dispute within {{number_of_days_mediation}} days, the Parties agree to refer the Dispute to mediation. The mediator shall be {{mediator_name}} or, if unavailable, a mediator mutually agreed upon by the Parties. The costs of mediation shall be borne equally by the Parties unless otherwise agreed.
3. **Arbitration:** If mediation fails to resolve the Dispute within {{number_of_days_arbitration}} days, the Parties agree to refer the Dispute to binding arbitration in accordance with the rules of {{arbitration_body}} (e.g., Arbitration Foundation of Southern Africa - AFSA). The arbitration shall be conducted by a single arbitrator / a panel of three arbitrators appointed in accordance with the said rules. The seat of the arbitration shall be {{arbitration_city}}, {{arbitration_country}}.
4. **Expert Determination:** For disputes of a technical nature, the Parties may agree to refer the matter to an independent expert for determination. The expert shall be {{expert_name}} and their decision shall be binding on the Parties regarding {{scope_of_expert_determination}}.

CONFIDENTIALITY
All discussions, proposals, and information exchanged during the dispute resolution process, including any settlement offers, shall be treated as confidential and without prejudice. No information disclosed during this process may be used as evidence in any subsequent legal proceedings unless otherwise agreed upon by all Parties or required by law.
COSTS
Unless otherwise agreed herein, the costs associated with the chosen dispute resolution method (e.g., mediator fees, arbitrator fees, venue costs) shall be shared equally among the Parties. Each Party shall bear its own legal costs incurred in connection with the dispute resolution process.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{country_of_governance}}.
Any disputes arising out of or in connection with this Agreement that are not resolved through the agreed-upon dispute resolution methods shall be subject to the exclusive jurisdiction of the courts of {{country_of_governance}}.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the Dispute.
AMENDMENTS
No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by all Parties.
