BOARD RESOLUTION ADOPTING AN ENVIRONMENTAL POLICY

At a duly convened meeting of the Board of Directors of {{company_name}} (hereinafter referred to as "the Company"), held on the {{day_of_month}} day of {{month}}, {{year}}, the following resolution was unanimously adopted:
BACKGROUND
WHEREAS, the Company recognizes its responsibility to protect the environment and promote sustainable practices in its operations;
WHEREAS, the Board of Directors deems it desirable and necessary to formally adopt a comprehensive Environmental Policy to guide the Company's activities and ensure compliance with relevant environmental legislation and best practices.
RESOLUTION
RESOLVED, that the Environmental Policy, attached hereto as Annexure A and reviewed by the Board, is hereby approved and adopted by the Company with immediate effect.
FURTHER RESOLVED, that the management of the Company is hereby authorized and directed to implement, monitor, and regularly review the Environmental Policy to ensure its effectiveness and ongoing suitability.
FURTHER RESOLVED, that the Environmental Policy shall be communicated to all employees, contractors, and other relevant stakeholders, and shall be made publicly available where appropriate.
FURTHER RESOLVED, that the Board shall receive regular reports on the Company's environmental performance and the implementation of the Environmental Policy, at least {{reporting_frequency}}.
ENVIRONMENTAL POLICY PRINCIPLES (Annexure A - Example Content)
The Company is committed to:
1. Complying with all applicable environmental laws, regulations, and other requirements.
2. Preventing pollution and minimizing the environmental impact of its operations.
3. Continually improving its environmental performance.
4. Promoting environmental awareness among its employees and stakeholders.
5. Conserving natural resources and minimizing waste through efficient use and responsible disposal.
6. Considering environmental factors in decision-making processes, including product development, procurement, and facility management.
ROLES AND RESPONSIBILITIES
The ultimate responsibility for environmental performance rests with the Board of Directors. The {{designated_person_or_committee}} is responsible for overseeing the implementation of this policy.
All employees are responsible for understanding and adhering to the Environmental Policy in their daily activities.
REVIEW AND AMENDMENT
