Cooperation Agreement
This Cooperation Agreement (hereinafter “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
Party 1: {{party_1_legal_name}}, a company duly incorporated and existing under the laws of {{country_1}}, with its principal place of business at {{party_1_address}} (hereinafter “Party 1”).
AND
Party 2: {{party_2_legal_name}}, a company duly incorporated and existing under the laws of {{country_2}}, with its principal place of business at {{party_2_address}} (hereinafter “Party 2”).
(Hereinafter collectively referred to as “the Parties” and individually as “Party”).
1. Purpose of the Agreement
The Parties hereby agree to cooperate on the project/endeavour (hereinafter “the Project”) as described in detail in Appendix A. The primary objective of this cooperation is to {{project_purpose_description}}.
2. Scope of Cooperation
2.1. Party 1’s responsibilities include, but are not limited to: {{party_1_responsibilities}}.
2.2. Party 2’s responsibilities include, but are not limited to: {{party_2_responsibilities}}.
2.3. Both Parties agree to jointly undertake the following tasks: {{joint_responsibilities}}.
3. Term and Termination
3.1. This Agreement shall commence on the date first written above and shall continue for a period of {{agreement_term_duration}} (e.g., one year, indefinitely) unless terminated earlier in accordance with the provisions of this Section 3.
3.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party, in the event of a material breach of this Agreement by the other Party, which breach is not remedied within {{cure_period}} days of receiving written notice thereof.
3.3. This Agreement may also be terminated by mutual written consent of both Parties.
4. Financial Arrangements
4.1. The financial contributions and arrangements for the Project shall be as follows: {{financial_arrangements_description}}.
4.2. Any shared costs or revenue generated from the Project shall be split as follows: {{cost_revenue_split_percentage}}.
5. Intellectual Property
5.1. Any intellectual property developed jointly during the course of this Agreement shall be jointly owned by the Parties, with each Party having an undivided {{ip_ownership_percentage}} interest.
5.2. Where intellectual property is developed solely by one Party, that Party shall retain full ownership, subject to any pre-existing licenses or agreements.
5.3. The Parties agree to execute any further documents deemed necessary to evidence or perfect such ownership.
6. Confidentiality
6.1. The Parties agree to keep confidential all information, data, and materials, whether written or oral, that are designated as confidential or would reasonably be understood to be confidential, obtained from each other in connection with this Agreement.
6.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.
7. Dispute Resolution
7.1. Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of {{arbitration_institution}}.
7.2. The seat of the arbitration shall be {{arbitration_city}}, {{arbitration_country}}.
7.3. The language of the arbitration shall be English.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.
9. Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
